Description:
The Boston office has an opening for a public finance associate with 2-5 years of experience. This position will include public finance matters involving state entities and nonprofits: tax-exempt and taxable municipal bonds, including public offerings and direct purchases, and commercial loans to finance public infrastructure and other capital improvement projects; nonprofit health care, higher education, education, cultural, and other facilities. Engagements include services as bond counsel, underwriter's counsel, disclosure counsel, and purchaser's/lender's counsel.Duties & Responsibilities:
- Drafts transaction documents, including trust agreements, loan agreements, and closing certificates.
- Assists with review of due diligence materials.
- Drafts securities disclosure offering documents, including limited offering memorandums and official statements, bond purchase contracts and remarketing agreements.
Qualifications & Prior Experience:
- 2-5 years of relevant experience in public finance, real estate finance, and/or lending/corporate finance preferred
- JD from accredited law school
- Admission to the Massachusetts bar
- Excellent academic credentials
- Excellent legal research, writing, and interpersonal communication skills required
