O'Melveny is seeking a public company staff attorney to join the Public Company Advisory group within its Capital Markets practice. This role will serve as a resource attorney for the Public Company Advisory group, keeping apprised of securities law and corporate governance developments, helping to evaluate trends and best practices, interpreting new rules, regulations and other guidance or policies affecting securities law and corporate governance matters, creating and updating form documents (including, among others, corporate governance policies, board committee charters and D&O questionnaires) and assisting with client alerts, client presentations and other internal and external resource materials. The position will also work closely with members of the Public Company Advisory group to assist with certain day-to-day securities law counseling, SEC reporting and corporate governance matters for our growing public company client base. Our public company clients span diverse industries—from technology to healthcare/life sciences to real estate/REITs to retail/consumer services—and range from decades-old Fortune 500 public companies to newly-public emerging growth companies and smaller reporting companies. Qualified candidates will be well-versed in SEC rules and regulations and corporate governance best practices, with at least five years of prior experience advising public company clients on securities law and corporate governance matters at a top tier law firm. Prior in-house securities/corporate governance experience is welcome. The ideal candidate will display initiative, resourcefulness and an innovative spirit.
