Job Description:Project Finance Of Counsel positions offered by Paul Hastings LLP (New York, New York). Draw upon legal education and experience to provide legal advice regarding highly sophisticated project and structured finance and credit transactions, with special emphasis in digital infrastructure including data center, fiber and other digital infrastructure expertise, for domestic U.S. and U.S.-Latin America cross-border financings. Represent large financial institutions, including large banks, and underwriters or initial purchasers in connection with syndicated credit facilities and U.S. private placements. Negotiate legal documentation and strategies with clients and opposing counsel and manage and oversee bank lending transactions and U.S. private placement issuances from initiation to completion. Supervise associates, paralegals, and other professional staff, as well as assist senior colleagues with forming and executing strategies. Review associates' work product in preparing supporting legal documentation. Assist in the structuring of guarantor and collateral packages in multiple jurisdictions. Develop client relationships, including attending client events. Run deals independently and source new business for the Firm. Demonstrate a mastery of deal execution. Co-lead client pitches, draft thought leadership, and deepen niche client relationships pertaining to digital infrastructure. Be recognized as an expert legal resource.
Minimum Requirements:
- Requires a Juris Doctor or foreign equivalent degree and 8 years of experience with an international law firm representing large banks, note purchasers and borrowers/sponsors in connection with complex international projects and structured finance and credit transactions in the energy and infrastructure sectors.
- Must have 5 years of experience in the following:
- Working on structured finance and credit transactions in the energy and infrastructure sectors;
- Working with bank lending or U.S. private placement transactions;
- Reviewing, drafting, and negotiating commitment letters, fee letters, term sheets, engagement letters, senior secured credit agreements, common terms agreements and note purchase agreements, security documents, equity contribution and sponsor support agreements, and accounts agreements for bank financings and U.S. private placements, as well as related interest rate swap and cap transactions and related trade confirmations, including on ISDA forms, and deal-contingent hedge documentation;
- Reviewing and analyzing construction contracts, data center lease agreements, power purchase agreements, concession agreements, acquisition agreements, ground leases, tax-exempt and bond-for-title documentation, direct agreements for project contracts;
- Providing clients summaries and due diligence memoranda; and
- Structuring collateral arrangements in multiple jurisdictions.
- Must have at least 3 years of experience in the following:
- Reviewing associates' work product
- Supervising a team of lawyers and other professional staff; and
- Performing client management
- Must be licensed to practice law in New York State
- Experience may be, but need not be, acquired concurrently.
- Position reports to New York, NY office. Telecommuting permitted in accordance with company policy, but must live within commuting distance of stated office.
