Introduction:
We're looking for an experienced attorney to join our legal team as Private Markets Counsel. This position plays a key role in supporting the formation and oversight of private market investments across a wide range of asset classes, including private equity, venture capital, real estate, infrastructure, natural resources, and private credit.

The ideal candidate brings deep expertise in fund structuring and investment due diligence, a practical understanding of regulatory frameworks, and a collaborative approach to working with both internal teams and external partners.

Key Responsibilities:
Fund Formation & Structuring
  • Coordinate with outside counsel to draft, review, and negotiate fund documents, including limited partnership agreements (LPAs), private placement memoranda (PPMs), subscription agreements, and side letters.
  • Partner with internal teams and outside counsel to support the launch and ongoing management of proprietary funds.
  • Advise on appropriate fund structures (e.g., Delaware LPs, offshore vehicles, master/feeder structures, SPVs) with consideration for tax and regulatory implications for the company and investors.

Investment Review & Due Diligence

  • Lead legal review of fund investments, secondary transactions, and co-investment opportunities, with a focus on key terms, governance rights, transfer restrictions, and liquidity provisions
  • Identify and assess legal and regulatory risks in coordination with investment, legal, and compliance teams.
  • Oversee closing processes and work closely with external counsel as needed.

Regulatory & Compliance

  • Provide guidance on U.S. securities laws, ERISA, and other US and non-US regulatory requirements relevant to private fund investments.
  • Help maintain and enhance relevant internal compliance policies and disclosures.
  • Contribute to staff training initiatives on fund structures and investment terms.

Internal Legal Support

  • Advise on a range of investment-related matters, including co-investments, secondaries, separate accounts, and strategic partnerships.
  • Support legal input for investor communications, RFPs, and DDQs.
  • Monitor legal and market developments in private markets and share insights with relevant stakeholders.
  • Oversee two paralegals.

Required Qualifications:
  • J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.
  • Minimum of 5 years of relevant legal experience, with at least 3 years focused on leading private fund formation, co-investments, secondaries, and direct private market deals from sponsor and investor perspectives.
  • Prior experience at a leading law firm or in-house at an asset manager, institutional investor, fund-of-funds, or family office.
  • Strong working knowledge of U.S. fund structures, securities laws, and other applicable regulatory regimes (SEC, ERISA, AIFMD, etc.).
  • Excellent drafting, negotiation, analytical and communication skills.
  • Ability to manage multiple priorities in a dynamic, fast-paced environment.
  • Strong interpersonal skills and a collaborative approach.

Preferred:
  • Experience with offshore fund structures (e.g., Cayman Islands, Luxembourg).
  • Familiarity with ESG-related legal considerations in fund documentation.
  • Knowledge of ERISA and tax considerations (e.g., UBTI and ECI).
