Position Summary, Responsibilities and Qualifications
Honigman's Private Equity Practice Group Represents the Unique Needs of Private Equity Sponsors in The Financing, Acquisition, Operation, and Ultimate Disposition of Their Portfolio Investments. Our Primary Focus Is Middle-Market Transactions, Typically Involving Companies with Enterprise Values up To $500 Million. We Represent Clients in Nearly Every Industry, Including the Manufacturing, Business Services, Automotive, Financial Services, Construction, Healthcare, Specialty Chemicals, Housing/building Products, Direct-To-Consumer Marketing, and Aerospace Sectors. Our Experience Includes the Full Spectrum of Exit Transactions, and We Assist Our Private Equity Clients in Recapitalizations, Mergers and Consolidations, Asset Sales, Stock Sales, and Initial Public Offerings. We Grew Our Private Equity Practice Based upon A Foundation, Built Over 75 Years, of Representing Many Significant Privately Held Companies. This Experience, Coupled with Our Midwestern Cost Structure, Enables Us to Provide Portfolio Company Counseling in An Efficient and Cost-Effective Manner.

Key Responsibilities:
  • Support Senior Associates and Partners in Drafting and Reviewing Documents for Private Equity Transactions;
  • Perform Due Diligence Tasks, Including Reviewing Financial Statements and Legal Documents, and Preparing Due Diligence Reports;
  • Help with The Preparation of Financing Documents and Assist in The Coordination of Capital Raising Activities;
  • Assist with Legal Research, Drafting Memos, and Supporting Clients with Day-To-Day Legal Needs;
  • Deliver High Quality Work-Product and Effectively Communicate at All Levels of Honigman and Its Clients;
  • Demonstrate Excellent Problem-Solving Skills and High Energy and Enthusiasm for Counseling in The Relevant Client Sector;
  • Exhibit Highly Responsive, Creative and Efficient Work Habits;
  • Strive to Continuously Improve Knowledge, Skills and Abilities and Seek Guidance and Feedback to Improve Performance and Productivity;
  • Take Responsibility for Enhancing Expertise, in Addition to Seeking out Formal and Informal Training;

  • Demonstrate a Long-Term Interest in Networking with Existing Clients and Developing Business Opportunities.

Qualifications:
  • 2-4 Years of Experience in Corporate Law at A Law Firm;
  • Experience with Mergers and Acquisitions (m&a), Corporate Governance, and Securities Law;
  • Familiarity with Drafting and Negotiating a Variety of Corporate Documents, Such as Shareholder Agreements, Operating Agreements, and Purchase Agreements;
  • Ability to Organize and Prioritize Numerous Tasks and Complete Them Under Significant Time Constraints;
  • Outstanding Interpersonal, Analytical, Organizational, and Communication (written and Verbal) Skills Required;
  • J.D. Degree from An Aba-Accredited Institution;
  • Licensed Michigan or Illinois, Attorney in Good Standing (or with Ability to Waive Into Either Jurisdiction); And
  • Ability to Travel as Client Needs Require.
