Stinson LLP seeks an Associate with 1 – 3 years of experience to join our Minneapolis, Minnesota office in our Private Business Division.

Qualified candidates will have at least 1 – 3 years of relevant experience (as described below), possess excellent academic credentials and have strong writing, analytical, organizational, and communication skills.

Relevant experience includes experience in connection with corporate governance, entity selection and formation, mergers and acquisitions, contract negotiations, business succession planning, and private equity transactions. More specifically, candidates should have experience with the following:
  • Assisting with merger and acquisition transactions, including due diligence, document review, and drafting ancillary transaction documents under attorney supervision;
  • Assisting with entity ownership matters, including drafting and reviewing buy-sell agreements, minority/majority investment documents, and executive compensation arrangements;
  • Assisting with contract review and negotiations across a range of commercial agreements, including supplier, vendor, distribution, and consulting agreements;
  • Assisting with private equity transactions, including supporting due diligence efforts and drafting and reviewing transaction documents;
  • Supporting attorneys in advising clients on entity formation matters, including corporations, limited liability companies, and partnerships; and
  • Supporting attorneys in advising closely-held and family-operated business clients on succession planning and related ownership transition issues; and
  • Assisting in the delivery of outside general counsel services to private and closely-held business clients on day-to-day legal matters.

Strong candidates will have a solid academic record and early professional achievements that reflect genuine intellectual curiosity and a commitment to business law. We are looking for self-starters who are nimble thinkers, take ownership of their work, and bring thoughtfulness and business awareness to every client matter. We are also open to considering attorneys from adjacent transactional practices including, but not limited to, real estate, estate planning, or tax who are looking to broaden their practice into the business transactions space.

Our attorney compensation structure has two components: (1) a base salary (based on an 1850 billable hour target) and (2) a discretionary merit bonus based on performance. The base salary range for this role is $200,000 – 215,000. The salary range for this position is based on a variety of factors, including experience, skills, qualifications, and location. The range is provided as an initial approximation at the time of posting and may vary based on the individual's unique qualifications and experience.
