Cahill Gordon & Reindel LLP seeks a Non-Equity Partner in New York, NY to originate and manage complex legal financing matters across the firm's core practice areas. Requires a Juris Doctor degree, Master of Laws degree, or equivalent and eight (8) years of experience providing legal services in connection with a wide range of U.S. and international financing transactions, including leveraged financings, investment grade financings, asset-based loans, bridge financings, debtor-in-possession financings, corporate restructurings, and corporate recapitalizations; drafting, reviewing, and negotiating the terms of financing grids, commitment letters, fee letters, term sheets, engagement letters, credit agreements, intercreditor agreements, agreements among lenders, purchase agreements, merger agreements, guarantees, security and pledge agreements, consent solicitations, notes, warrants, side letters, payoff letters, and legal opinions; supervising due diligence investigations and preparing and reviewing question lists; providing legal advice on structuring terms related to corporate financing transactions; and anticipating, identifying, assessing, managing, and advising on risks and issues associated with financings with emphasis on fatal flaw analysis. Must be admitted to practice law in the state of New York. Telecommuting and/or working from home may be permissible pursuant to company policies. Salary Range: $1,150,000.00/year - $1,500,000.00/year. M-F, 40 hours/week.
