Description:

A Boston-Based Law Firm is currently seeking a corporate fund formation associate with at least three years of experience in fund formation for private equity & venture capital sponsors and their investors.

Required Skills:
Experience working on fund formation engagements, including drafting and negotiations of limited partnership agreements, subscription agreements and side letter agreements; legal review and completion of private placement memoranda; drafting general partner and management company arrangements; regulatory compliance matters for private equity and venture capital firms; and all other documents and processes relevant to fund formation transactions and private equity and venture capital firm clients.

Preferred Qualifications:

Ideal candidates should have knowledge of the Securities Act, the Investment Company Act and the Investment Advisers Act, as these laws and their related rules apply to private equity and venture capital funds.
The ideal candidate is also a self-starter and possesses excellent professional judgment and a strong work ethic. The individual should be highly motivated to provide exceptional client service and value the opportunity for personal and professional growth in a collaborative environment.
Large firm experience strongly preferred.
