Job Description:Holland & Knight is seeking a mid-level capital markets/M&A associate to join its Corporate M&A and Securities Practice. Applicants should have 3-5 years of experience with a variety of capital market transactions, as well as public company reporting and compliance matters. The ideal candidate will have extensive experience representing issuers in public and private offerings of debt and equity securities, interfacing with the SEC and other regulators, counseling public companies on disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters, as well as preparation of Exchange Act filings, such as Forms 10-K, 10-Q, 8-K and proxy statements. Additional experience with public and private company M&A is a strong plus. Candidate must have strong interpersonal and communication skills, a high degree of maturity and business sense, and the ability to effectively manage internal and external client relationships. Excellent academic credentials are required, and large regional, national or international law firm experience is preferred. Job Requirements:
- 3 to 5 years of experience.
- JD from an ABA Accredited Law School.
- Must be licensed or ready to become licensed the state of Florida.
- This candidate must reside in the Miami area at or prior to the time of hire. We believe that there is significant value in working together in person and will expect the candidate to work in the office at least three business days per week.
