About the role:
Join our team as a Managing Legal Counsel – Litigation and play a pivotal role in the future of T. Rowe Price, all while developing your expertise in a dynamic and supportive environment. This is an opportunity to join a Global Corporate Legal team, as the lead attorney managing all Litigation matters impacting T. Rowe Price. You will lead a team who handle our litigation docket, advise the business on responses and courses of action, and provide counsel on new legal developments, especially as they impact our asset management business. This team works with a variety of business, compliance, risk, and legal associates across the globe dealing with novel legal and regulatory issues, helping to incorporate privacy and data protection into everything we do in service of the T. Rowe Price mission.

Role Summary:
Provides specialized, expert legal counsel to multiple businesses or functional areas. Often seen as a legal practice area expert, advising business or functional area leaders on legally sound courses of action in the resolution of business problems. Has a breadth of expertise across multiple key legal issues that are strategically relevant to assigned businesses or functional areas. Viewed as a trusted internal resource capable of using knowledge of the organization's businesses, products, services, and/or strategies to articulate and advance complex legal positions. Contributes to establishing the organization's professional standards in areas of expertise. Responsible for assigned matters, and may assign work to less experienced attorneys or other legal staff.

Responsibilities:
  • Lead the Company's global litigation and dispute resolution function, overseeing all litigation, arbitration, mediation, regulatory investigations, subpoena responses, and other contentious matters involving T. Rowe Price, its subsidiaries, affiliates, and sponsored investment products.
  • Develop and execute litigation strategies in partnership with business leaders and outside counsel, balancing legal, financial, operational, regulatory, and reputational considerations.
  • Advise senior management and business stakeholders regarding litigation exposures, emerging legal risks, settlement opportunities, and dispute avoidance strategies.
  • Direct all aspects of outside counsel management, including selection, retention, performance oversight, budgeting, staffing, and evaluation of legal service providers.
  • Manage responses to subpoenas, regulatory examinations, investigations, inquiries, and enforcement matters involving regulators such as the SEC, FINRA, Department of Labor, state regulators, and foreign regulatory authorities.
  • Partner with business, Compliance, Risk, Internal Audit, Technology, Human Resources, and other control functions to investigate issues, preserve evidence, respond to discovery obligations, and implement corrective actions where appropriate.
  • Provide legal support for disputes involving investment products, fiduciary obligations, securities law issues, employment matters, commercial contracts, intellectual property, privacy, cybersecurity, and other enterprise risks.
  • Develop and oversee litigation reserves, budgets, reporting processes, and key performance metrics related to dispute management.
  • Present significant litigation developments and risk assessments to senior executives, management committees, and, as necessary, the Board of Directors and its committees.
  • Monitor legal and regulatory developments affecting the asset management industry and advise stakeholders regarding potential impacts on T. Rowe Price's business, products, and operations.
  • Lead, mentor, and develop attorneys and legal professionals supporting litigation and investigation matters.
  • Promote efficient litigation management practices, including e-discovery, records preservation, legal operations, and alternative dispute resolution initiatives.
  • Serve as the Company's primary escalation point for significant litigation and investigation matters and establish enterprise-wide litigation management standards, reporting protocols, and best practices.

Qualifications:
Required:
  • Juris Doctor from an accredited law school
  • Active membership in at least one U.S. state bar and ability to become admitted in Maryland
  • 10+ years of litigation experience, including substantial responsibility for complex commercial litigation, regulatory investigations, or enforcement matters
  • Demonstrated experience managing outside counsel and litigation budgets
  • Strong strategic judgment and ability to assess legal, business, regulatory, and reputational risks
  • Excellent written advocacy, negotiation, communication, and stakeholder-management skills
  • Ability to influence senior executives and operate effectively in a highly regulated environment

Preferred:
  • Experience advising asset managers, investment advisers, broker-dealers, banks, insurers, or other regulated financial institutions
  • Experience managing SEC, FINRA, Department of Labor, state attorney general, or other regulatory investigations and enforcement matters
  • Familiarity with securities laws, Investment Advisers Act, Investment Company Act, ERISA, and fiduciary-duty litigation
  • Experience leading significant internal investigations and responding to government subpoenas and information requests
  • Strong experience managing complex e-discovery matters and large-scale document productions
  • Demonstrated success managing high-value commercial disputes, class actions, securities litigation, or regulatory enforcement matters

FINRA licenses are not required and will not be supported for this role.

Work Flexibility
This role is eligible for hybrid work, with up to one day per week from home. Our offices are in Baltimore, Maryland.
