Overview:
The Managing Counsel Will:
- Work independently to provide experienced legal advice specializing in collateral management and private investment transactions, including advising on structuring collateral arrangements and reviewing, drafting and negotiating private investment transactions, investment management agreements, secured transaction documents, and collateral agreements.
- Provide an experienced level of timely, high-quality legal advice and assistance to other RGA attorneys and business clients with an emphasis on investment operations and collateral structures.
- Demonstrate a commitment to being a trusted strategic partner to reinsurance counsel, investment teams, business units, and senior management with a responsive, service-oriented attitude and strong work ethic.
What You Will Do:
- Collaborate and communicate with other members of the RGA reinsurance legal team and business clients, including reinsurance, investments and treasury teams, to perform highly complex assignments and projects.
- Provide seasoned, deeply experienced level of timely, high quality legal advice and support in the structuring of collateral arrangements; review, negotiate and document secured transactions, including trust agreements, collateral documents, security agreements, and UCC filings and related documentation; and providing pro-active guidance on contractual and regulatory compliance.
- Negotiate, review and prepare documentation for fund investments and a variety of other alternative asset investments, including to ensure compliance with applicable collateral requirements and to navigate complex partnership tax implications and securities law and ERISA compliance matters; provide legal support to investment teams in alternative asset structuring and risk assessment; assist on due diligence reviews; and advise on legal and regulatory matters affecting collateral management and investment activities.
- Review, draft, and negotiate complex investment management and other related agreements, together with ensuring compliance with all applicable insurance and securities laws; provide other strategic legal counsel to investments team on related matters.
- Provide advice and assistance to the reinsurance legal and business teams as needed in structuring, negotiating and documenting complex reinsurance transactions.
- Serve clients and provide legal services and advice at a level commensurate to a partner in a law firm.
- Collaborate on other projects as assigned.
Qualifications:
- Law degree from a United States accredited law school
- Bachelor's Degree in Arts/Sciences (BA/BS) Business, finance or accounting degree or equivalent experience: working knowledge of concepts, terminology and practices
- 10+ Years experience as an attorney in a law firm or in a corporate legal function
- Expert-level experience with complex transactions involving fund formation or other alternative assets is a preferred asset
- Deep experience, expertise and knowledge of legal and contract terminology and methods, and business and financial knowledge
- Highly experienced ability and expertise to identify and interpret business and contract issues
- Experienced and demonstrated ability to interact and work collaboratively and constructively with people at various levels within and outside the organization
- Experience in a global business enterprise with re/insurance, investment management or other financial services operations is a preferred asset
- Deep and broad expertise in legal profession, with significant specialized knowledge of U.S. laws and regulations
- Highly experienced client counseling skills in translating business needs and problems into viable and accepted solutions
- Highly experienced client service and interpersonal skills, with continual focus and dedication to high level of client service
- Highly experienced skills and expertise with respect to drafting, review, proofreading, negotiation, persuasion, and oral and written communication
- Demonstrated ability to clearly present appropriate business terminology and concepts
- Highly organized and results oriented with strong attention to detail
- Experienced and seasoned time management skills and commitment to meet deadlines including expert ability to set goals, multitask and prioritize workload to deliver results on a timely basis
- Ability to be flexible when needed, take initiative, and demonstrate accountability
- Expert ability to work well within a team environment and participate in department/team projects
- Ability to maintain a high level of confidentiality
- Committed to acquiring new skills and knowledge of changing technologies and practices
- Proficient knowledge of Word applications with an ability to develop and maintain document automation templates, acquire new skills, and knowledge of changing technologies
- Strong knowledge of partnership tax, ERISA, secured transactions and / or securities laws matters would be ideal
- Licensed to practice law in at least one U.S. State

Compensation Range:
$175,650.00 - $261,600.00 Annual
Base pay varies depending on job-related knowledge, skills, experience and market location. In addition, RGA provides an annual bonus plan that includes all roles and some positions are eligible for participation in our long-term equity incentive plan. RGA also maintains a full range of health, retirement, and other employee benefits.
