Job Summary:The Mergers & Acquisitions (“M&A”) Sr Corporate Counsel is responsible for assisting in a variety of legal matters related to mergers and acquisitions. The primary focus for this role will be mergers and acquisitions and other high-level commercial transactions. The role will also require counsel and advice in numerous other areas, including employment law, real estate, and regulatory matters.
Principle Duties and Responsibilities
- Draft documents, negotiate and provide counsel with respect to mergers, acquisitions, and other commercial transactions
- Ensure personnel of newly acquired operations are trained to comply with company policy and federal, state and local laws, rules and regulations
- Assist with employment and human-resources related legal matters
- Review, interpret and negotiate contracts
- Participate in the completion of real estate purchase and sale transactions as part of M&A
- Research substantive law and prepare various reports as required
- Manage the compliance portion of the due diligence process related to mergers and acquisitions
- Prepare reports for the Board of Directors related to the M&A process
- Participate in the integration and on-boarding of acquired targets
- Assist in providing legal support for initiatives within the company's corporate venture capital group
- Performs other duties as required.
Qualifications:
- Law degree (JD) from an ABA-accredited US law school.
- Admitted to practice law in at least one state.
- Minimum 5 to 10 years of experience as a practicing attorney with experience in M&A transactions.
