The Job:
As a M&A and Corporate Transactions Attorney, you'll be part of our in-house legal team working as a hybrid employee. You'll get to:
  • This role will work closely with senior legal department leadership and cross-functional teams to support strategic transactions and ongoing compliance with regulatory requirements.
  • Lead and support M&A transactions, including:
    • drafting and negotiation NDAs
    • conducting due diligence
    • structuring, negotiation, drafting transaction documents
    • driving regulatory clearance process
    • closing of deals
    • advising on post-closing transition services arrangements.
  • Advise on a wide range of corporate transactions, including joint ventures, strategic partnerships, and other business development initiatives.
  • Draft, review, and negotiate a variety of commercial contracts and corporate documents.
  • Provide support on public company matters, including SEC reporting and disclosure obligations (e.g., 10-K, 10-Q, 8-K, proxy statements, Section 16 filings) and NYSE listing requirements.
  • Oversee the organization and maintenance of subsidiary corporate secretarial matters
  • Collaborate with external counsel as needed on complex transactions or specialized matters.

The Person:

  • Juris Doctor (JD) from an accredited law school and active membership in good standing with at least one U.S. state bar.
  • 5+ years of relevant legal experience, including significant exposure to M&A (public & private) and corporate transactions.
  • Exceptional drafting, negotiation, and analytical skills.
  • Ability to manage multiple projects and priorities in a fast-paced environment.
  • Excellent interpersonal and communication skills, with the ability to work effectively with business and legal colleagues at all levels.
  • Prior experience working with industrial and manufacturing companies preferred.
  • In-house experience preferred, not required.
  • Preferred experience managing outside counsel and cross-functional project teams.
  • High ethical standards and sound judgment.
  • Detail-oriented with strong organizational skills.
  • Proactive, solutions-oriented approach to problem-solving.
  • Ability to work independently and as part of a collaborative team.
