Essential Duties and Responsibilities:
Corporate Counsel who supports General Counsel in handling legal matters with focus on transactions, antitrust laws, Georgia General Contractors License Law, corporate governance laws, customs/FTZ laws, cybersecurity legal issues, environmental laws, intellectual property laws, vehicle safety laws, and general litigation matters. Coordinates with other Legal & Compliance Team Members to accomplish departmental objectives.
  • Negotiate, review, and draft and advise company on various contracts, including purchase orders, equipment acquisition contracts, construction contracts, and automotive parts supply contracts and other general contracts.
  • Oversee company's contract management system and the enforcement of the Contract Review and Approval Policy.
  • Handle supply chain matters and vendor compliance matters.
  • Research / advise company on antitrust laws, Georgia General Contractors License Law, corporate governance laws, customs/FTZ laws, cybersecurity legal issues, environmental laws, intellectual property laws, and vehicle safety laws.
  • Draft memoranda to General Counsel, Legal & Compliance, executives, and Team Members in response to Requests for Legal Services.
  • Track and report any developments in transactional laws, antitrust laws, corporate governance laws, customs/FTZ laws, cybersecurity legal issues, environmental laws, intellectual property laws, and vehicle safety laws.
  • Manage litigation involving contracts, antitrust laws, Georgia General Contractors License Law, corporate governance laws, customs/FTZ laws, cybersecurity legal issues, environmental laws, intellectual property laws, vehicle safety laws, and general litigation matters.
  • Provide legal advice to General Affairs and other departments on document retention requirements.
  • Track and report governmental affairs (including legislative, city council and county commission matters), legal, and compliance updates to executives and suppliers.
  • Handle investigations, audits, and trainings in the areas of antitrust laws, Georgia General Contractors License Law, corporate governance laws, customs/FTZ laws, cybersecurity legal issues, environmental laws, intellectual property laws, and vehicle safety laws.
  • Always display exemplary ethical behavior, including: (1) being free of undue influence and conflicts of interest; (2) strictly complying with HMGMA policies and procedures; (3) being honest, transparent, and accountable; (4) report all known illegal or unethical behavior; and (5) protecting confidential information.
  • Administer, coordinate, and comply with all Business Management System (BMS), Environmental Management System (EMS), and Safety Management System (SMS) requirements
  • Perform all other duties as assigned by the General Counsel.

Qualifications & Preferences
Required:
  • Juris Doctor Degree from an ABA-accredited Law School required
  • 10 – 15 years of job related experience preferred
  • Transactional/purchasing/contracts experience required
  • Construction law experience strongly desired
  • Large law firm experience preferred
  • Additional experience in any one or more of the following areas is preferred: Litigation, antitrust, corporate governance, customs/FTZ, cybersecurity, environmental laws, intellectual property laws, vehicle safety laws.

Preferred:
Excellent academic credentials (Top 30% of law school class preferred)

Travel Requirement
Domestic / International travel required.
