Position Overview:
The Legal Counsel/Senior Legal Counsel, Venture Capital & Growth Equity of A Global Private Markets Investment Firm will support A Global Private Markets Investment Firm's Venture Capital and Growth Equity sector team within the Private Equity business, and report into the Associate General Counsel for that sector team. As an integral member of the Legal team, the person filling this role will be primarily responsible for drafting and negotiating legal documentation with respect to the firm's Venture Capital and Growth Equity clients and investment products, including commingled funds, funds-of-one, and investment advisory relationships. The person filling this role will also support Venture Capital and Growth Equity fund and direct investments, both primary and secondary.

Essential Job Functions:
  • Assist Associate General Counsel in fund formation and structuring for venture capital and growth equity commingled funds and funds-of-one
  • Liaise and coordinate with investment, finance, compliance, and operational due-diligence teams on all fund formation and investment activities
  • Manage outside counsel in connection with formation of new funds and select investment activity
  • Review placement memoranda, partnership agreements, legal due diligence materials and related documents for investments in venture capital and growth equity funds and startup companies and prepare analysis regarding same for inclusion in investment memoranda or otherwise deliverable to clients
  • Manage negotiation and execution of documentation, including term sheets, letters of intent, limited partnership agreements, side letters, subscription documents, placement agreements, advisory agreements and equity financing documents
  • Negotiate and draft documentation to execute (1) secondary purchases and sales of fund interests and shares in startup companies, (2) co-investments, and (3) direct investments
  • Monitor existing investment portfolio and manage disposition of investments
  • Supervise paralegals, including in the negotiation of confidentiality agreements, closing-related matters, transfer of fund interests, and other matters, as needed
  • Special projects from time to time subject to availability (e.g., strategic transactions, new product research and evaluation, special mandate activity, process efficiencies, legal technology implementations, fiduciary counseling and training, regulatory filings, etc.)

Qualifications:
  • 4-Year college degree required
  • Must possess a law degree from an accredited and reputable law school, be admitted to a state bar, and be in good standing
  • Approximately 3 to 5 years of fund formation, investment management and/or transactional legal experience, preferably in venture capital
  • Experience with venture capital investment management firms, whether in-house or at a law firm
