Description:
Objective:We are seeking a highly skilled and experienced Legal Counsel to provide strategic legal advice and support across a broad range of business-related legal matters. This role focuses on commercial and corporate law, intellectual property, employment law, and compliance, with a strong emphasis on international contract negotiation and risk mitigation. The ideal candidate will be a proactive legal partner to the business, capable of translating complex legal issues into practical solutions. This position reports to the US CEO for day-to-day business operations and maintains a functional reporting line to the Group General Counsel (based in Italy HQ). The role serves as the primary legal liaison between the regional operations and the global legal function. As business grows throughout the Americas, this position may provide legal guidance and coordination support for other markets in the region.
Responsibilities:
Legal Advisory & Contract Management
- Provide legal advice on a wide range of business-related legal issues, including contract, commercial, IP, corporate, and employment law.
- Draft, review, and negotiate various commercial agreements, including sales and supplier contracts, NDAs, licensing agreements, cooperation agreements, and MOUs.
- Develop and maintain contract templates and manage the company's contract database
- Prepare legal risk reports and advise management on potential legal, regulatory, and compliance risks.
- Lead negotiations with insurance providers to improve legal exposure and coverage.
- Ensure alignment of U.S. legal practices with European legal policies and procedures.
- Support the development and implementation of compliance procedures in line with global policies
- Collaborate with internal departments (sales, finance, technology, HR) and external legal counsel to resolve legal and contractual matters.
- Represent the legal department in internal and external meetings, ensuring legal interests are protected.
- Translate complex legal scenarios into actionable business strategies.
- Provides leadership on specific legal matters and, when required by the complexity of the issue, engages with external counsel on a case-by-case basis
Qualifications:
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active member in good standing with the North Carolina State Bar.
- Minimum of 7 years of relevant legal experience, preferably in an international corporate legal department.
- Deep knowledge of international, federal, and state laws, including data privacy and technology regulations.
- Proven ability to draft bespoke contract provisions and templates from scratch.
- Strong analytical and solution-oriented skills with the ability to handle legal matters, involve external counsel when needed, and represent the company professionally in negotiations.
- Ability to manage multiple priorities in a fast-paced, evolving environment.
- Proficiency in Microsoft Office and contract management systems.
- Experience in the manufacturing or e-mobility sector is a plus.
