About This Position:
We are searching for a Legal Counsel to join our Fenix24 team. In this role, you will focus on helping close business agreements, manage and track forms and important records, and support other projects as needed. Eagerness to learn and a positive attitude are key. We want to be fast, do smart work, and feel good about the work we're doing together. We would also consider a seasoned, highly motivated contract manager.

This position reports to the General Counsel.

Key Responsibilities:
  • Draft, review, and negotiate sales and purchase agreements, NDAs, partner and reseller agreements, and other contracts.
  • Create proposed terms for new software, consulting, or security services; must have a familiarity or ability to find and identify best approaches. For example, may review or edit terms for new line of software products, collaborating to be sure other affected terms are aligned and risks we assume are reasonable.
  • Track master set of forms and ensure other teams are using current versions.
  • Be responsible for corporate records for our various affiliated entities, so that they are well organized, easy to locate, and up to date.
  • Collaborate with multiple teams to help create and maintain a contract management system including by helping define key information to track for each contract, listing non-standard terms or unique concessions in a concise, clear way, developing systems for notifying team members of actions needed, and organizing documents.
  • Support GC on a variety of projects as requested. For example: Research information or laws as requested or may handle compliance or litigation projects as requested.
  • Additional duties as assigned.

Qualifications, Requirements & Preferred Skills
  • Admission to a bar as an attorney. (For experienced contract managers, please share that in your cover letter and this line will not apply.)
  • At least three years of experience working on technology transactions.
  • Excellent analytical, organization, and problem-solving skills.
  • Ability to form relationships across all levels of the company with a high level of emotional intelligence.
  • Must have an understanding of common contract provisions and related risks and goals, for agreements used to buy or sell services or software in the technology sector.
  • Attention to detail, accuracy and version control throughout the contracting process.
  • Excellent negotiation skills with internal stakeholders and external partners, including an ability to read the room, and an ability to frame issues to persuade with minimal friction.
  • Strong written and verbal communication skills, including the ability to simplify complex legal language for non-legal audiences. Ability and experience identifying key risks and concisely describing alternatives.
  • Ability to work with people in different time zones.
  • Ability to set priorities and meet deadlines.
  • Ability to perform legal research, to think through new regulations or new operational requirements.
  • Ability to work in a fast-paced environment, working on multiple projects and deadlines.
  • Commitment to continuous improvement, including – where appropriate - process automation and contract workflow optimization.
  • Preferred or Nice to Have:
    • Knowledge of data privacy and security requirements (e.g., GDPR, CCPA, HIPAA) and how they impact contractual terms.
    • Other in-house experience with legal matters or contracting; this may be related to intellectual property, security, compliance, employment practices, or other teams – show us how you can help as we grow.
    • Experience supporting procurement and/or sales teams.
    • A sense of humor!
    • Experience with cybersecurity and/or transactions related to professional service; experience with creating terms for new or evolving products or technology.
