What you'll doThe Legal Counsel, Procurement & Commercial Acceleration will be a qualified mid-level attorney with go-to-market and procurement experience in the SaaS industry. This role is a unique hybrid of legal practice and legal operations, serving as a “legal engineer” for Commercial Agreements as part of our Commercial Acceleration Initiative. Your mission is to revolutionize how our procurement and commercial teams engage with agreements by leveraging cutting-edge technology and innovative process design. You will heavily focus on standard inbound procurement legal negotiations, other commercial transactions, and handle some real estate transactions, while serving as a strategic, tech-savvy legal engineer. You will also be expected to provide feedback to improve Docusign's products, test new features, and experiment with third-party AI tools to optimize our contracting workflows. You must have robust deal experience, a strategic, innovative mindset, an appetite for growth in an AI-infused environment, and strong drafting and negotiation skills. This role is pivotal in transforming our contracting lifecycle, unlocking critical business data, accelerating deal velocity, mitigating risk, and empowering our teams with scalable solutions.
This position is an individual contributor role reporting to the Director and Associate General Counsel, Commercial Acceleration & Procurement.
Responsibility
- Draft, review, negotiate, and advise on standard inbound procurement agreements with vendors, partners, and suppliers, as well as handle some real estate transactions (e.g., commercial leases, facilities agreements, MSAs, SOWs, NDAs, amendments, and related terms)
- Identify pain points in inbound procurement and commercial agreement workflows and design technology-driven improvements
- Lead the evaluation, selection, implementation, and optimization of in-house and third party contract management technologies and AI-powered review tools
- Configure CLM/Intelligent Agreement Management (IAM) platforms, automate workflows, create intelligent templates, standardize clause libraries, and develop contract playbooks specifically tailored for procurement support
- Act as a vital feedback loop for Docusign's own product teams by actively testing products, dogfooding new releases, and providing insights to improve Docusign's offerings
- Act as a strategic liaison and trusted advisor to Procurement, Real Estate/Facilities, Commercial/Sales, Legal, IT, Product, and Finance
- Develop training programs and drive the adoption of new tools and processes within the procurement and legal teams
- Define and track KPIs to measure the impact of initiatives on efficiency, speed, risk, and user satisfaction, and engineer data privacy and compliance frameworks within agreement management systems
- Apply a systematic approach to transform traditional procurement and legal workflows into scalable, technology-driven solutions
- Pioneer Intelligent Agreement Management (IAM) practices within the organization
- Develop and implement standardized playbooks, intelligent templates, and automated clauses for procurement and real estate transactions
- Leverage core and emerging technologies including CLM, AI/GenAI, workflow automation, and data analytics platforms, while experimenting with third-party tools
- Champion user-centric design and change management to ensure successful adoption of new technologies and processes

What you bring:
Basic
- 5+ years of related in-house legal department and technology-related contracting experience or law firm experience, including robust deal experience with standard inbound procurement agreements, commercial transactions, and real estate transactions
- Admitted to practice and in good standing with the US Bar Association
Preferred:
- In-house experience in the high tech industry
- Tech-savvy and product-inclined; strong appetite for growth in an AI-infused environment and a strategic, innovative mindset
- Excellent contract negotiating and drafting skills
- Demonstrated understanding of data privacy and data security, particularly in the SaaS industry
- Strong professional judgment, practicality, and client service focus
- Proactive and able to work efficiently, prioritize workflow, meet demanding deadlines, and manage multi-dimensional projects in a fast-paced environment
- Excellent analytic and communication skills, with ability to act on best information available and not wait for absolute certainty
- Familiarity with and willingness to experiment with the Docusign product services, ServiceNow, Salesforce, Google Workspace, Smartsheet, CLM solutions, AI tools, and other applications relevant to legal transactional support and contract management
