Reporting to the Development Legal Director and based in Washington DC we are looking for a Legal Counsel

The selected professional will be a key member of the A Worldwide Leader in Photovoltaic Energy Development team providing legal counsel to the US team and supporting growth of the company in the US market. This person will have ownership of the US legal requirements of the business and will be in the core of the business. This person will be supported by and work with the global legal team

What Will You Do?
  • Provide counsel to management and other departments to capture emerging opportunities and construction of projects in the following segments of the energy industry: Utility Scale-Solar, battery storage and other renewable resources, in each of the following phases development, construction, operation and acquisition of new projects, etc.
  • Support, research, review, interpret, draft and negotiate: (a) project documents such as land agreements, power purchase agreements (PPA), EPC agreements and O&M Agreements and (b) financing documents, including tax equity structures, sale-leaseback structures, and traditional debt financing; and (c) any other documents or agreements required for the opportunities.
  • Manage the internal compliance reviews and process.
  • Manage the corporate activities of the US companies (keeping and updating books and records, supervising the incorporation of companies, preparing and implementing Power of attorneys, and organizing the role of directors/officers of project & special purpose companies.
  • Manage and supervise outside counsel within budgetary constraints; review and approve outside counsel invoices
  • Assist with respect to management of litigation and other dispute resolution processes.

What do we need?
  • JD and strong academic record
  • Licensed to practice law in applicable state of residence
  • 3- 5 years of relevant experience at a major law firm or with a sophisticated in-house legal department
  • Significant experience with respect to transactions in the renewables industry, M&A opportunities, project development and/or financing operations
  • Ability to work independently and as a team member; ability to set priorities and to respond to changing demands from multiple source
  • Business acumen and reporting skills
  • Ability to take lead and have a proactive approach on any responsibilities within the job description
