About the Team:
The Corporate Legal Team supports Workday's global business by providing innovative legal advice regarding compliance with laws, corporate governance, and global entity management. We partner closely with teams across Workday to support the company's growth, innovation, and integrity by advising on all aspects of corporate law and governance matters.

About the role:
We are seeking a highly motivated corporate attorney who thrives in a fast-paced and high-energy environment. The ideal candidate must be a confident self-starter who can prioritize and lead multiple tasks and responsibilities with agility, efficiency, and a dose of good humor. This position will report to the Vice President & Deputy General Counsel, Corporate & Securities, and will help with:

Responsibilities:
  • Support Workday's SEC filings and other corporate regulatory filings, including the proxy statement, 10-K, and Section 16 reports, as well as compliance with Nasdaq's listing and governance requirements.
  • Assist with corporate governance matters, including Board and Committee support, policies, and charters for Workday, Inc. and its global entities.
  • Provide broad-based equity compensation program support and advice including support of 10b5-1 plans and Workday's trading policy.
  • Provide legal support for debt and equity offerings and other transactional corporate matters.
  • Support the Workday Ventures team with investments in emerging companies, ongoing matters, and strategic exits.
  • Partner with marketing, brand, and communications to review marketing claims, campaign materials, and other public communications.
  • Coordinate aspects of international subsidiary governance and corporate secretarial matters.
  • Assist where needed on other legal matters, such as M&A integration, both domestic and international.
  • Provide strategic, practical legal advice to the accounting and finance, communications and marketing, investor relations, human resources, stock administration, tax, and treasury teams.
  • Help to develop, implement, and continually improve company and team processes and procedures, including through the implementation of tools and innovative technologies.

About You:
Required Qualifications:
  • JD and active license to practice.
  • At least two years of relevant corporate experience as a corporate or securities attorney at a top-tier law firm.

  • Extremely high attention to detail.

  • Excellent at understanding complex topics as well as finding streamlined solutions to complex issues that address appropriate levels of risk.
