Description:
As Legal Counsel, you will serve as An In-House Firm's primary in-house legal advisor, reporting directly to the CFO and playing a critical role in supporting the company's growth and operations. You'll lead corporate legal efforts across joint ventures, series fundraising, governance, and compliance, while collaborating with external counsel on IP matters. This role is ideal for a seasoned legal professional ready to take ownership of a broad legal portfolio-reviewing and negotiating complex contracts, advising on investor relations, and ensuring the company remains compliant and strategically positioned in a fast-paced, high-tech environment.Job Duties:
- Serve as An In-House Firm's in-house authority on corporate legal matters including contracts, compliance, governance, and corporate structure.
- Review, negotiate, and manage a wide range of complex legal agreements including strategic partnerships, joint ventures, and investor documentation.
- Provide legal oversight and risk assessment for major initiatives including Series funding rounds and acquisitions.
- Advise the executive team and key stakeholders on legal obligations, rights, and potential risks.
- Interpret and update historical agreements and contracts, ensuring An In-House Firm's rights and interests are protected.
- Monitor legal and regulatory developments relevant to An In-House Firm's industry and ensure the company remains compliant.
- Act as the point of contact for external legal teams in specialized areas including IP, employment law, and international compliance including partnering with external IP counsel
- Establish internal legal processes and systems as needed for scaling operations.
Requirements:
Required:
- J.D. from an accredited law school and active license to practice law in the United States.
- 10+ years of legal experience, with a strong emphasis in high-tech or fast-growing industries.
- Demonstrated success supporting or leading corporate legal work in joint ventures, acquisitions, or venture funding.
- Proven experience working with or for major investors and venture-backed companies.
- Strong contract review and negotiation skills.
- Ability to collaborate with multiple internal and external stakeholders.
- High level of autonomy and capability to provide clear, actionable legal advice in a fast-paced environment.
Preferred:
- Experience supporting Series A/B/C fundraising rounds.
- Familiarity with robotics, automation, or advanced technology sectors.
- Experience working directly with IP counsel on patent and licensing strategy.
- Previous in-house counsel or general counsel experience at a growth-stage company.
