Epson, a global technology leader, is seeking a Senior Counsel to join our Legal team.

The Legal Counsel will be responsible for managing an active portfolio of legal issues with respect to Epson products and services with moderate to high risk implications and supporting the Company's transactional requirements with tailored contracts.

Advice and Counsel
  • Advises as to compliance with applicable laws, regulations, and policies within defined areas.
  • Assesses legal risks and opportunities, establishes and advocates plans to minimize risks within defined areas at levels acceptable to businesses supported.
  • Participates in and influences the decision-making process with senior management.
  • Collaborates with department lawyers.
  • Leads the company's legal thinking and manages an active portfolio in defined areas.
  • Shapes and advocates company's positions to internal and external audiences regarding a variety of legal and business matters.
  • Coordinates efforts with internal and/or external legal and business experts when appropriate.
  • Communicates business risk tolerance to outside counsel to effect best outcomes.

Commercial Contracts and Cross-Functional Business Partnering:
  • Reviews, drafts, and negotiates a wide range of contracts, including supply agreements, authorized channel agreements (distributor, reseller, etc.), public sector and co-operative RFPs/purchase agreements.
  • Acts as liaison between the internal team members and/or business units ensuring that all legal and contractual matters are addressed thoroughly, efficiently and promptly; provide timely, practical, business-oriented legal advice directly to business clients.
  • Supports product-related legal workstreams, including software licenses and EULAs, open source software considerations, IP positioning and risk allocation
  • Applies innovative problem-solving skills and practical business judgment to maximize revenues, minimizes risk and fosters long-term client relationships.
  • Responds to complex inquiries regarding contract obligations and revisions; identifies risks and issues, escalates when appropriate and necessary, suggests alternatives that lead to the best business solution.
  • Prepares and disseminates information regarding contract status and modifications; report on the status of contracts to internal clients using established processes.
  • Maintains and develops standardized contract templates in collaboration with legal administrative and other cross-functional teams including sales operations, sales, and product management.
  • Ensures clear and prompt communication with internal stakeholders regarding contracts
  • Assists and supports with other project and legal matters as needed; manage assigned projects to completion.
  • Collaborates with, issue spots and facilitates cross-team decision-making among the Legal Affairs team, Finance/Tax team, business teams and other internal teams.
  • Works under the general supervision of and support from a department lawyer. Has a strong sense of how and when to escalate matters for higher level and/or deeper evaluation.

What you will bring:
  • 6-10 years of experience with Commercial Contracts and Cross-Functional Business Partnering
  • Prior in-house experience supporting sales, marketing and product development for technology products strongly preferred
  • Enthusiastic team player with strong communication and project management skills, as well as business judgment and ability to assess risk
  • Strong desire to learn and contribute to the success of Epson's business
  • Live within commuting distance of Epson's Los Alamitos HQ – Hybrid role (3 days in-office/week)
  • Candidates must have California bar membership or active bar membership in good standing in at least one U.S. jurisdiction

Preferred Experience (Not Necessary):
  • Trade Compliance (Tariff Mitigation, HTS Classifications, Import/Export Law)
  • Service team support, including third party authorized servicer agreements, limited warranty statement drafting and modification, commercialization of extended service plans
  • Corporate governance support, including drafting and management of corporate annual resolutions and related records as well as inter-company agreements and financial instruments
