Description:
Position Summary:The Legal Counsel position is a junior attorney role focused on supporting all aspects of the work of the General Counsel's office/function. Under supervision of the General Counsel and other members of the in-house legal team, the Legal Counsel will have responsibility for supporting a broad range of transactional matters, including in some or all of the following areas: public company disclosures, securities offerings, secured financing, mergers and acquisitions, mortgage/consumer regulatory compliance, and corporate governance. Following initial training, the Legal Counsel will be directly responsible for corporate entity administration, administration of corporate policies and procedures, contract administration, standard forms, and compliance with privacy-related statutes and regulations.
Responsibilities & Duties:
- Support legal department on various matters, including business initiatives, corporate governance, and federal securities law compliance for publicly traded real estate investment and financial services company
- Take an active role in supporting public and private debt and equity offerings, investment transactions, secured financing transactions including mortgage loan warehouse/repurchase facilities, M&A transactions, and other commercial transactions
- Negotiate and draft commercial contracts including vendor and customer agreements, licensing and technology services agreements, financing agreements, and nondisclosure/confidentiality agreements
- Participate in the drafting, preparation, and review of Forms 10-K and 10‑Q, proxy statements, registration statements, and non-GAAP financial reporting
- Collaborate with HR, Marketing and IT departments, as well as business units, on data privacy and security matters, including negotiating technology and licensing agreements, data breach response planning, and data security and cybersecurity regulatory compliance
- Manage outside counsel and participate in securities litigation, response to third-party subpoenas, and internal investigations
- Participate in legal department management activities including annual budgeting and planning
Required Experience, Skills, & Competencies
- Juris Doctorate
- Completed bar admission in one or more states
- 0-3 years experience as a practicing attorney
- Experience with mortgage origination or finance is beneficial
- Strong desire to broaden and develop legal skills and expertise
- Strong communication skills (written and verbal)
- Strong collaboration skills and the ability to work and partner with individuals across departments and levels
A reasonable estimate of the total compensation range for this role is $100,000-$115,000. The actual salary offer to the successful candidate will be based on job-related education, geographic location, training, licensure and certification, and other factors.
