Who we are looking for:
Phoenix Tailings is looking for a driven Legal Counsel who wants to be deeply embedded in building a first-of-its-kind clean metals company. This role will play a critical part in enabling our rapid growth by supporting legal strategy across contracts, compliance, corporate governance, and risk management. You will work directly with leadership and cross-functional teams to help Phoenix move faster, smarter, and more responsibly as we scale transformative technology into real-world infrastructure. This role will report to our Chief Legal & Compliance Officer.

This pay range reflects the expected compensation for this role and may vary based on experience and qualifications.

Salary Range: $140,000-$180,000

Key Responsibilities:
  • Draft, review, and negotiate a wide range of commercial agreements including NDAs, vendor contracts, customer agreements, and strategic partnerships
  • Support intellectual property strategy, including coordination with external counsel on patent filings, invention disclosures, and prosecution, and reviewing and advising on intellectual property provisions in commercial agreements
  • Maintain and improve contract templates, playbooks, and legal workflows to support scaling operations
  • Design and enhance legal processes, including contract intake, approval, and document management systems
  • Support corporate governance activities, including entity management, board materials, and internal policies
  • Assist with regulatory and compliance matters related to environmental, industrial, and operational activities
  • Identify and mitigate legal and business risks while enabling teams to execute quickly and effectively
  • Provide practical, business-oriented legal guidance to internal stakeholders as Phoenix scales operations

Qualifications:
  • J.D. from an accredited law school and admission to practice law (Massachusetts or New Hampshire preferred)
  • 2 - 4 years of legal experience in a law firm or in-house legal role with exposure to commercial and intellectual property matters
  • Strong experience drafting, reviewing, and negotiating commercial contracts
  • Working knowledge of intellectual property law, with experience handling patent prosecution and portfolio management a plus
  • Ability to operate independently in a fast-paced, high-growth environment
  • Strong judgment and the ability to balance legal risk with business objectives
  • Exceptional attention to detail with a practical, solution-oriented mindset
  • Interest in clean technology and critical materials
