Job Summary:
An Electronic Commerce Company is a seeking a temporary Contract Attorney to support contract review and other legal projects. This role will primarily support the commercial contract function, providing review of procurement contracts, brand and marketing, and product development. This position can be fully remote, fully in office (in San Mateo, CA) or a hybrid of the two.

Key Responsibilities:
  • Draft, review, and revise various procurement-side agreements, including SaaS Agreements, Technology License Agreements, NDA's, DPA's, Service Agreements, Independent Contractor Agreements, and Creative Vendor Agreements.
  • Draft, review, and revise various revenue-side agreements, including advertising placement and campaign insertion orders.
  • Update or create legal policies, contract playbooks, processes, and standard operating procedures by collecting requirements from various legal stakeholders.
  • Review, clean up, and close out contract lifecycle management workflows.
  • Update and improve templates and clause libraries.
  • Review and interpret contracts/terms to create legal summaries in support of diligence projects.
  • Web and legal research to inform compliance programs and to educate the department on evolving regulations, policies, and standards affecting the business.

  • Strong contract drafting and redlining skills.
  • Experience using playbooks and legal drafting and review standards to review and negotiating commercial agreements.
  • Ability to work closely with members of the legal department to translate feedback into contract redlines and responses.
  • Highly organized with the ability to manage projects from initial idea phases to the final deliverable.
  • A diligent, independent worker with a bias towards action and moving projects and deliverables forward.
  • Experience in technology procurement and advertising in the eCommerce or tech industry
  • Familiarity with contract lifecycle management systems (e.g., Legisway, Docusign, etc.)
  • Working privacy knowledge of US privacy laws

Minimum Requirements:
  • J.D. with license to practice law, ideally California licensed.
  • 4+ years of relevant legal experience (may be a combination of in-house and law firm).
