Job Summary:
Bar licensed attorney that drafts, negotiates and manages commercial customer contracts and participates on related projects as needed.

Responsibilities:
  • Being responsible for legal management of the full deal cycle, including reporting and communicating status of contracts and managing negotiations collectively with internal stakeholders. Overseeing development of, and approvals for, customer deals, working with internal stakeholders to coordinate approvals and address business issues between various departments (e.g., sales, finance, tax, and insurance) and stakeholders and mitigating risks.
  • Drafting, reviewing, and negotiating moderately complex customer contracts and channel/ resale contracts to ensure principles meet An American Multinational Real Estate Investment Trust Company's business requirements and align to internal stakeholder's approval standards. The successful candidate should anticipate primary responsibility for global major customer accounts and collaborating with colleagues in the EMEA and APAC regions on a regular basis.
  • Providing legal advice to internal stakeholders while demonstrating a keen understanding of commercial considerations; working closely with and providing strategic guidance to the business, including senior management across the organization.
  • Providing ancillary advice and completing required administrative tasks on various issues including early contract termination, novations, price increases, renewals, amendments, customer rights, and ensuring changes are properly documented.
  • Prepared to function as part of the wider global legal team and undertake global projects, initiatives, deals, corporate or other commercial transactions as may arise or be assigned. Comfortable with working in a matrix reporting organization.
  • Being a close partner to the business, the successful candidate will be responsible for a broad spectrum of commercial legal and compliance matters within An American Multinational Real Estate Investment Trust Company's business and may be assigned ownership of the commercial activities in a country, a particular business unit, or specific industry areas.
  • Analyzing customer requests for information, advising the business on how best to respond, and be able to independently draft accurate and comprehensive responses under tight deadlines.
  • Identifying customer contract aspects that do not comply with An American Multinational Real Estate Investment Trust Company policies, processes, and procedures and escalating issues to stakeholders/approvers/appropriate party to address non compliance.
  • Developing templates for customer transactions (e.g., new product offering, new policies).
  • Working with external counsel where required.

Qualifications:
  • Law degree from a recognized university with a minimum of 6 to 10 years practice experience. Admitted to practice in a US state or Canadian jurisdiction where based
  • Extensive experience in sell side contract negotiation is critical
  • Strong ability to identify business concerns of both parties to the transaction and then be able to creatively ascertain and draft bespoke contract provisions to solve for those concerns in a way that mitigates legal risks and accomplishes business objectives
  • Experience working on a collaborative team with key business stakeholders in Sales, Finance, Product, and Operations to identify key business concerns with contract provisions, and project manage development of documents during the contract negotiation and drafting process
  • Competent, engaged, accurate, resourceful, independent, organized, able to prioritize, an effective time manager and the ability to work in a a team are important skills
  • Prepared to use current legal technology including contracts management systems and document and email management systems
  • Articulate, with great communication and drafting skills and fluency in English. Being effective negotiating and drafting in a second language (such as Spanish or French) would be an advantage
