Position Summary:
The Lead Counsel is responsible for overseeing legal Operations for all CyncHealth organizations. This position holder will lead day-to-day analysis, legal document creation & review, intellectual property rights, customer agreements, data privacy & governance, and counsel on legal, policy, and contractual issues facing the company. This position will work across teams within CyncHealth, as well as with key external organizations and clients.

Responsibilities include, but are not limited to the following:
  • Provide comprehensive general legal services including complex contract review, drafting and preparing legal documents, including agreements with healthcare clients and partners, and evaluating risk factors regarding business decisions and operations.
  • Develop and recommend company policy and position on legal issues and relevant state and federal policy initiatives.
  • Collaborate with leadership to establish repeatable processes and strategies to accelerate new participant acquisition.
  • Ensure CyncHealth remains compliant with relevant federal and state laws and regulations relating to health technology, data privacy, cybersecurity, intellectual property rights, and professional responsibilities.
  • Exercise due diligence and implement sound internal controls to minimize exposure to legal risks to enable CyncHealth and its entities to operate legally and with integrity.
  • Serve as a subject matter expert on healthcare data governance and compliance. Provide consultation to senior leadership.
  • Protect qualifying innovations developed in the organization as intellectual property under applicable federal and state law.
  • Understand and educate on the governance model, policies, articles of incorporation, and bylaws of the organization.
  • Be versed in the insurance, liability, and coverage the organization has for offerings, services, and technology.
  • Understand and oversee nonprofit tax exemption to lessen risk to exempt status.
  • Lead and manage a team, including responsibility for planning and managing work priorities, performance of duties, achievement of initiatives, and providing direction and directives to direct reports. Provide regular and ongoing feedback, including conducting performance conversations with direct reports.
  • Participate in organizational strategic planning efforts and ensure assigned function operationalizes necessary steps to meet organizational strategic goals. Cascade relevant information to direct reports as needed.
  • Maintain a high-level focus on effective decision making and strategy development for all assigned functions.
  • Maintain operational continuity by developing and maintaining capable coverage plans within department.
  • Support interdepartmental efforts to meet operational and strategic objectives.
  • Manage assigned business function in alignment with the strategic plan and leadership expectations, including development and implementation of OKRs or supplemental business function strategic planning to meet organizational objectives.
  • Partner with vendor management, and other internal stakeholders as needed, to deliver effective vendor management when identified as the business owner for a vendor which may include but is not limited to relationship management, contract deadlines, and invoice approvals. Responsible for effectively managing available resources in alignment with fiscal stewardship.
  • Protect assets and the integrity, security, and privacy of information entrusted to or maintained by the organization.

Experience/Requirements:
  • A Juris Doctor (JD) and a Nebraska state license in good standing to practice law.
  • Working knowledge of intellectual property requirements and successful strategies to protect qualifying innovations.
  • At least 7 years' experience in handling health information technology matters in a relevant regulatory agency, law firm, or healthcare organization is preferred. At least 4 years of experience managing a team.
  • Advanced knowledge of health technology-specific legal documents and requirements.
  • Healthcare expertise in privacy, HIPAA, HITECH, and data rights.
  • Strong background in drafting and negotiating commercial agreements.
  • Ability to serve as a working manager, splitting time between leading a team and executing direct work.
  • Ability to coach, mentor, and develop direct reports.
  • Ability to effectively delegate work and manage workload of direct reports.
  • Ability to provide constructive feedback and manage performance of direct reports.

Physical Requirements:
  • Ability to work on a computer for extended periods of time.
  • Ability to stand or sit for extended periods of time.
  • Hours are generally Monday-Friday, 8:00 AM-5:00 PM. As operational deliverable deadlines emerge there is likely to be extended working hours.
  • Light work requiring exertion up to 20 pounds of force occasionally, and/or up to 10 pounds of force frequently, and/or a negligible amount of force constantly to move objects.
  • Availability to respond to time-sensitive and unexpected organizational priorities as needed.
  • Ability to work from La Vista, NE office with reliable and predictable attendance.
