We are seeking Lead Counsel to help us fulfill that mission. The selected candidates will serve as a strategic legal advisor to ACT, providing high-quality, actionable guidance on corporate governance, regulatory compliance, employment law, and litigation matters related to ACT's products and services. This role is responsible for managing legal risk, driving continuous improvement in legal operations, and supporting ACT's mission through sound legal counsel.

The finalist will be hired at the salary and level commensurate with their qualifications. For this position, we anticipate offering an annual salary between $160,000 to $175,000. ACT manages salaries within this range based on relevant factors, including skills, experience, and internal equity.

Location: This is a remote position, based in the United States.

What you will be working on:
  • Lead the drafting, review, and implementation of company-wide compliance training and corporate policy attestations.
  • Manage litigation and dispute resolution, including consumer disputes; oversee outside counsel and represent ACT in arbitration proceedings (primarily AAA cases related to test security and score reviews).
  • Handle corporate filings and governance matters for ACT's international subsidiaries, coordinating with local counsel and registered agents.
  • Advise on corporate compliance, including international regulations, ADA, IDEA, accessibility standards, and NY/CA Truth in Testing Statutes.
  • Oversee annual compliance filings under NY and CA Truth in Testing requirements.

This could be the job for you if you have (minimum requirements):
  • Minimum 7 years of legal practice in a law firm or corporate legal department
  • Demonstrated expertise in privacy, intellectual property, employment law and compliance
  • Proven ability to lead strategic initiatives and collaborate with cross-functional teams
  • Active, good standing license to practice law in good standing
  • Strong analytical, drafting, and negotiation skills
  • Excellent written and verbal communication
  • Creative problem-solving and practical judgment
  • Highly organized and detail-oriented
  • Ability to manage multiple complex matters in a fast-paced environment
  • Strong interpersonal skills and ability to influence across all levels
  • Commitment to confidentiality and ethical standards
  • Juris Doctor degree from an ABA-accredited law school required and 7+ years of legal experience from which comparable knowledge and abilities can be acquired.

It's a plus if you have:
  • Corporate in-house experience preferred
  • Experience in the Assessment, Education or Training industries
  • Leadership experience
