Partner with Kirkland & Ellis LLP (San Francisco, CA). Work within the M&A/Private Equity practice group to advise corporate and private equity clients in complex corporate transactions. Requires Juris Doctor or LL.M. degree, or foreign equivalent. Requires admission to the State Bar of California. Requires at least five (5) years of experience as an Associate within the Corporate, Mergers & Acquisitions, or Private Equity practice group of an international law firm advising on corporate transactions and private equity matters. Experience must include: Providing legal due diligence and support to private equity firms, funds, and portfolio companies in sophisticated corporate transactions including leveraged buyouts, public and private mergers and acquisitions, divestitures, carve-outs, joint ventures, growth investments and strategic investments in the software, home services, energy, media and entertainment, real estate, and healthcare industries; Drafting corporate documents including merger agreements, asset transfer agreements, share purchase agreements, disclosure letters, limited guarantees, equity commitment letters, capital contribution agreements and governing documentation including stockholder agreements, operating agreements and partnership agreements; Reviewing corporate legal documents to evaluate and analyze the legal risk of proposed transactions; Supporting due diligence review processes for domestic and international mergers & acquisitions (M&A) transactions; and Coordinating with opposing counsel and other advisors including accountants, consultants, and brokers in complex M&A, strategic investments, and private equity transactions.
