Associate (Senior) with Kirkland & Ellis LLP (San Francisco, CA). Work within the M&A/Private Equity practice group to advise corporate and private equity (PE) clients on complex corporate transactions. Requires a Juris Doctor (J.D.) or LLM, or foreign equivalent. Requires admission to the California state bar. Requires at least three (3) years of experience as an Associate or related job/title/occupation with an international law firm focusing on complex corporate transactions. Experience must include: Supporting complex corporate M&A transactions across software, industrial manufacturing, consumer goods, healthcare and telecommunication sectors; Supporting private equity funds, strategic acquirers, and portfolio companies across diverse industries; Drafting and negotiating of transactional documents including merger agreements, asset transfer agreements, equity purchase agreements, go-forward equity arrangement documents, disclosure schedules, limited guarantees, equity commitment letters and capital contribution agreements; Supporting due diligence processes and coordinating with specialist legal teams to analyze industry-specific regulatory compliance issues in M&A transactions including but not limited to HIPAA and CFIUS issues; providing post-transaction integration support; and Developing legal advice to private equity funds and portfolio companies and providing ongoing legal support for equity grants, employment agreements, and corporate governance advice.
