Associate with Kirkland & Ellis LLP (New York, NY). Work within the Debt Finance practice group advising clients on a broad range of corporate debt finance transactions. Requires a Juris Doctor or LL.M. degree, or foreign equivalent. Requires admission to the New York state bar. Requires four (4) years of experience as an Associate, Trainee Lawyer, or related job/role/occupation in the finance or debt finance practice group of a law firm working on financing transactions. Must have experience working on structured financing and securitization transactions. Experience must include: Drafting and reviewing legal documents for financing transactions including contracts, credit agreements, asset purchase agreements, resolutions, opinions and other ancillary documents, and deal closing deliverables; Advising clients on financing strategies and structuring of the prospective transactions; Leading the representation and counsel of clients on debt finance transactions including regular-way financings, leveraged buy-outs (LBOs), liability management transactions, debt restructurings, and credit agreements; Advising clients on capital markets regulations, securitization, and asset finance matters as they relate to financing transactions; and Leading negotiations of financing transactions with counterparties.
