Position Summary:Under the supervision of the Sr. Counsel, Transactions, the Jr. Contract Counsel will provide a broad range of contract review, legal analysis, services, and support primarily in the areas of general contracting, intellectual property portfolio protection, corporate governance, and regulatory review, compliance.
Job Duties/ Responsibilities:
- Analyze complex legal and factual issues, conduct extensive legal research.
- Correspond with other parties' attorney to negotiate contracts.
- Prepare, draft, review and negotiate a range of contracts including, supplier and vendor agreements, commercial leases, SAAS agreements, NDAs, third-party contracts and other commercial documents.
- Maintain and periodically update company's customer facing contracts and documents for compliance with applicable laws and to meet the needs of the business.
- Provide legal counsel and representation on copyright and trademark matters, including trademark registrations and infringement disputes.
- Collaborate with internal stakeholders including marketing, finance, and operations teams, to assess legal risks and develop mitigation strategies.
- Advise on potential impacts and implications of privacy laws and regulations.
- Stay abreast of relevant legal developments and industry trends to ensure compliance and proactive risk management.
- Other duties as assigned.
Qualification Requirements:
- Must have a J.D. License from ABA accredited law school; Member in good standing of California State Bar.
- At least 1-3 years of general legal experience; construction, data privacy and security, intellectual property, corporate and employment law experiences are a plus.
- Must have a valid CA Driver's License/Insurance and the ability to drive a personal vehicle to branches.
- Must be comfortable with working in a fast-paced environment, wearing multiple hats, flexible attitude and quick to react.
- Bilingual is a plus; however, it is not required.
- Excellent drafting, negotiation, research and analytical skills.
- Must be able to communicate at a professional level with all levels of the company and engage with internal business stakeholders across every department.
- Ability to meet tight deadlines and perform multiple tasks while maintaining attention to detail.
- Litigation experience a plus but not required.
