Description:

Castleton Commodities International LLC is seeking a part-time Employment Counsel to provide practical, business-oriented legal support on employment, compensation, benefits, and employee relations matters globally. The role is based in CCI's Stamford, CT office and will work closely with Talent Strategy/HR, Compensation, Payroll & Benefits, CCI Legal, outside counsel, and other internal stakeholders including Senior Management.

The ideal candidate will have prior in-house employment law experience, though candidates coming directly from a law firm with strong employment counseling experience will also be considered.

Key Responsibilities:
  • Partner with internal stakeholders and outside counsel on equity/carry plans and other compensation plan administration, employee communications, and bespoke agreements re same.
  • Support compensation and retention matters, including bonus guarantees, retention letters, special compensation arrangements, annual compensation statements, pay equity analysis, deferrals, and plan revisions.
  • Maintain and update various employment agreements/contract templates consistent with applicable local laws and best practices.
  • Draft and review various employment-related agreements and documentation.
  • Advise on classification, wage and hour, background checks, leave administration, payroll, benefits, ERISA-related questions, and other employment compliance matters.
  • Advise on equity, carry, deferred compensation, and incentive plan matters, including award agreements, term sheets, forfeiture, put/call rights, certifications, restrictive covenants, and separation-related issues.
  • Support employment policies, employee communications, performance management, disciplinary matters, investigations, warning memos, and related documentation.
  • Advise on terminations, separation agreements, releases, restrictive covenant issues, former employee matters, demand letters, and employment-related claims.
  • Provide employment support for M&A and other transactions, including diligence, transaction documents, employee communications, transition services, and integration issues.

Qualifications:
  • J.D. from an accredited law school and active bar membership in good standing.
  • Minimum of 8 years of employment law experience ideally with prior experience in house. Candidates direct from private practice with significant employment counseling and relevant compensation, benefits, or incentive plan experience will be considered.
  • Experience supporting trading, private equity, investment, or similarly complex businesses.
  • Strong knowledge of U.S. employment law, including wage and hour, classification, restrictive covenants, investigations, separations, discrimination, retaliation, leave laws, and employee relations.
  • Some international employment law exposure is highly preferred.
  • Experience with equity, carry, incentive plan, executive compensation, deferred compensation, or employee benefits matters strongly preferred.
  • Experience with M&A, compensation, benefits, or incentive plan matters.
  • Experience with employment agreements, separation agreements, restrictive covenants, consulting arrangements, and related employee documentation.
  • Strong judgment, discretion, drafting, analytical, and communication skills.
