About the Job:
The In-House Counsel will assist the Head of Legal with general corporate and transactional matters, contracts, corporate governance and securities functions of the Legal Department. This role presents a unique opportunity to work across legal practice areas and become a generalist (with the support of the Head of Legal and external counsel). The In-House Counsel will have the opportunity to become a trusted partner to senior leadership, external advisors, and internal teams as they provide legal advice on M&A transactions, matters related to securities law, public offerings, securities compliance and regulatory compliance. This position is ideal for a candidate looking to grow (or re-tool) and take on an increasingly impactful role within a fast-paced, high-growth public company.

Key Responsibilities:
  • Assisting with drafting, reviewing, and preparing securities filings (10Ks, 10Qs, 8-Ks,Section 16 filings, proxy statements, etc.)
  • Assisting with drafting and negotiating agreements including NDAs, master services agreements, service provider agreements, preparing form agreements for real estate transactions and providing advice to business teams concerning the same.
  • Supporting corporate governance processes at parent and subsidiary-level, including foreign subsidiaries (preparing board and committee materials, minutes, ensuring compliance with charters and bylaws, maintaining corporate records, etc.)
  • Collaborating with compliance specialists to support real estate and mortgage compliance
  • Drafting and refreshing employment agreements; reviewing employee handbook and related policies; preparing training materials
  • Support M&A transactions (conducting legal due diligence, drafting transaction documents, etc.)
  • Overseeing or assisting with intellectual property tasks, such as filing trademarks, reviewing licensing agreements, etc.
  • Assisting with routine litigation matters/investigations
  • Coordinating with external counsel
  • Providing day-to-day legal support and assisting with other matters as needed

Skills and Qualifications:
  • J.D. from an accredited law school and member of at least one U.S. state bar
  • 1-3 years of legal experience. Combination of law firm and in-house preferred, but not required (experience with public company advising or working with high-growth technology companies is a plus)

Must Haves:
  • Excellent writing and communication skills with the ability to effectively work with different departments on various legal issues across practice areas (finance,employment, marketing, etc.)
  • Ability to work independently and as part of a collaborative team
  • Ability to manage multiple competing priorities and deadlines
  • Ability and desire to solve problems/develop practical solutions
  • Desire to learn new legal practice areas

Salary Range: $110,000 - $130,000 base salary (depending on qualifications and experience) + eligible for annual bonus
