Responsibilities:
  • Draft, review, and negotiate bank and investment bank contracts and documents, including NDAs, engagement letters, broker fee agreements, and investment bank forms and documentation.
  • Review transaction documents including loan agreements, M&A agreements and capital markets disclosure documents.
  • Assist with review of business entity governing documents and resolutions for establishing legal authority to act.
  • Prepare for and participate in new product, line of defense, risk and control meetings, as appropriate.
  • Plan and execute special projects on behalf of the Legal Department, such as investment bank reviews, compliance assessments, etc. as directed from time to time.
  • Provide legal support to review policies and procedures for legal and regulatory requirements for the bank and the investment bank.
  • Draft, negotiate, and manage vendor contracts in a manner that comports with regulatory guidance and optimizes strategic results.
  • Liaise with other attorneys across the legal department and other control and support functions on legal, regulatory, risk, compliance, privacy and vendor management matters
  • Assist in maintaining and updating bank and investment bank form documentation (including standard loan document).
  • Review requests for outside counsel engagement and review legal invoices for compliance with outside counsel guidelines.

Qualifications:
  • Juris Doctorate from an ABA-accredited law school; admitted to the State Bar of Texas and eligible to practice in-house in Texas.
  • Minimum of 0-2 years legal experience in finance or banking industry with general knowledge on transaction banking.
  • Experience with reviewing NDAs, engagement letters, loan agreements, and other bank and investment bank related agreements and documents.
  • Experience with contract law, including structure of contracts and contract life-cycle management
  • Knowledgeable about laws and regulations applicable to financial institutions
  • Strong analytical and problem-solving skills.
  • Self-starter who understands executing with urgency and has an ability to comfortably work in a fast-paced, deadline-oriented environment.
  • Excellent interpersonal skills and a team player.
  • Demonstrated clarity in written and spoken expression.
  • Organizational skills and attention to detail required to handle diverse and concurrent assignments.
  • Must be able to work at a computer for extended periods of time.
  • Must be willing to work in office from the Texas Capital Center in Dallas, Texas.
