Privately owned and growing nutritional supplement, nutraceutical, and pharmaceutical manufacturer and distributor with more than 100 employees seeks a versatile in-house counsel to join our team in our new offices. Flexibility, multi-tasking, and a willingness to work on a broad variety of matters is a must. Excellent verbal and written communication skills required. Candidate should hold a JD and be a Member in good standing of a State Bar (preferably Texas). The ideal candidate has legal experience in the nutraceutical, nutritional supplement, food, and/or pharmaceutical industry and in wholesale and retail product distribution. 10 years legal experience including at least 2 years in-house corporate counsel experience desirable.

Job duties include at minimum:
  • Legal compliance. Responsibility for federal and state government filings to maintain good standing
  • Maintaining calendar for compliance with intellectual property rights registration renewals and other deadlines
  • Maintaining Company Minutes Books and Shareholder Records, attending Board of Directors' and Shareholders' Meetings, and preparing notices and minutes of meetings, maintenance of Share Register
  • Maintaining and preparing other legal documents and records, including, e.g., employment agreements, independent contractor sales rep agreements, distributions agreements, business contracts, and insurance policy files
  • Preparing and reviewing Distribution Agreements and Reseller Agreements and related documents as well as digital sales platforms, including the company's website and third-party e-sites
  • Liaison with outside HR company on HR matters
  • Liaison with outside IP counsel
  • Supervision of outside litigation counsel
  • Legal advice across the company including its subsidiaries and affiliates on a variety of matters, from risk mitigation to health care regulations, privacy and data management, enterprise software agreement, customer management, etc
