Description:
Position Overview:We are looking for a Corporate Lawyer to join our growing team. This role will provide broad support to the legal function, with a strong focus on drafting, reviewing, and finalizing a variety of corporate formation documents, corporate transactions, and agreements, including non-disclosure agreements, consulting agreements, license agreements, and supplier agreements. In addition, this individual will be a key advisor to our company Founders and leadership team in in areas of corporate laws and governance and compliance issues.
Key Responsibilities & Duties
- Prepare and negotiate agreements, including NDAs, consulting agreements, service, and supply agreements, and license agreements
- Assist in legal business transactions, including preparing corporate entity formation and organization documents, drafting resolutions and various other governance documents
- Support a variety of business transactions, including sales transactions and drafting and review of terms and conditions
- Assist with capital financing transactions, including drafting supporting documents and facilitating due diligence processes
- Conduct legal research as needed
- Other duties as assigned
Specialized Skills and Knowledge
- Proficiency in legal research and internet search resources (Lexis Nexis/Westlaw)
- Excellent writing ability
- Familiarity with UCC
- Able to effectively manage a wide range of corporate legal tasks
- Excellent interpersonal, written (grammar, spelling, format) and verbal communication skills
- Analytical mindset with excellent organizational skills and attention to detail
Qualifications:
- Juris Doctorate
- Licensed to practice from a State Bar Association
- An attorney with at least 3 years of experience in corporate law and transactions
