Position Summary:
Under the direction of the Senior Vice President, Chief Legal Officer and Corporate Secretary, the General Counsel, Regulatory and Transactions will provide legal and regulatory advice and services to the company and its affiliated entities. S/he is responsible for modeling the 3 Company values of Compassion, Integrity, and Excellence, and for promoting the Compassus philosophy, using the 6 Pillars of success as the foundation. S/he is responsible for upholding the Code of Ethical Conduct and for promoting positive working relationships within the company, among all departments, and all external stakeholders.

Position Specific Responsibilities
  • Responsible for, and engages all Company stakeholders in, the Company's 6 Pillars of Success: Regulatory Compliance, Colleagues, Quality, Service, Growth and Financial Responsibility.
  • Provides legal and regulatory advice to corporate and clinical colleagues regarding all legal matters affecting the company, particularly focusing on healthcare transactions, licensing, and certificates of need
  • Analyzes the impact and application of federal and state health care laws and regulations, including Anti-kickback Statutes; Stark; fraud, waste and abuse statutes; HIPAA/HITECH; and Medicare Conditions of Participation in connection with and in relation to the clinical, strategic, and business operations of the company.
  • Leads the Licensing and CON functions for the Company
  • Leads merger, acquisition and other transactional activity in the Legal Department
  • Provides advice regarding relationships and transactions with hospitals, long-term care facilities, physicians, vendors, managed care companies, and third-party payors.
  • Prepares, reviews, and negotiates contracts and documents for the company, incorporating state and federal health care regulatory requirements.

Education and/or Experience:
  • Juris Doctor degree from an accredited law school required.
  • 15 years of legal experience with at least 10 years of healthcare professional experience.
  • Relevant experience, and demonstrated success, in a law firm and/or corporate setting; additional public sector experience preferred.

Skills:
  • Mathematical Skills: Ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, common fractions, and decimals. Ability to compute rate, ratio, and percentage.
  • Language Skills: Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations. Ability to write reports, business correspondence, and procedure manuals. Ability to effectively present information and respond to questions from leaders, team members, investors, and external parties. Strong written and verbal communications.
  • Other Skills and Abilities: Demonstrates high integrity. Commitment to collaborating effectively. Deep understanding of key stakeholders of the Company, including patients, families, team members, governmental and regulatory agencies, payors and shareholders. Ability to mitigate risk pragmatically and exercise reasonable judgment. Strong organizational and time management skills. Must be able to work a flexible schedule to include nights and weekends. Must be able to travel. Ability to understand, read, write, and speak English. Articulates and embraces hospice philosophy. Knowledge of statutes, rules and regulations pertaining to businesses. Proficient understanding of business sensitivities and confidentiality.

Physical Demands and Work Environment: The demands of this role necessitate a team member to effectively perform essential functions. Visual acuity requirements include close and distance vision, color and peripheral vision, depth perception, and the ability to adjust focus.
