Description:

As the organization's General Counsel, you will oversee all legal matters impacting the company, its employees, customers, operations, and its compliance obligations. You will report to the CEO and be a strategic advisor to the Fortis leadership team, board, and stakeholders. You will build and implement a comprehensive legal risk mitigation strategy to protect and advance the Company's business, while ensuring compliance with applicable laws and regulations across the company's footprint.

Essential Duties and Responsibilities:
  • Provide counsel to the CEO, executive leadership team, and board on all legal matters.
  • Ensure compliance with corporate governance standards, regulatory obligations, and internal policies.
  • Build and implement Fortis' legal risk mitigation strategy, aligned with business objectives.
  • Proactively identify, assess, and manage legal risks across labor, contracts, customer agreements, litigation, M&A, and regulatory issues.
  • Establish monitoring and reporting process for legal exposures and compliance risks.
  • Infuse a continuous improvement mindset into compliance and legal risk by effectively fostering two-way communication with stakeholders to better understand the company's business environment and in turn better educate stakeholders on legal matters and risk.
  • Bring best in class risk mitigation ideas to the company and work collaboratively, cross functionally to implement appropriate measures aligned to the company's business objectives.
  • Select, manage, and evaluate external counsel and legal partners to ensure cost-effective, high quality representation and execution.
  • Negotiate and manage key contracts, customer agreements, employment agreements, and supplier relationships.
  • Support transactional activities (acquisitions, divestitures, partnerships) with legal diligence and integration execution.
  • Oversee compliance programs, policies, and training to ensure adherence to applicable laws and ethical standards across the business. This includes, but is not limited to, employment policies and practices, employee health and safety, product and customer liability exposure, and supply chain practices.
  • Provide legal guidance on employee relations, labor laws, and HR practices.
  • Support leadership in maintaining a safe, ethical, and compliant workplace culture and environment.
  • Additional duties as required.

Qualifications:
Requirements:
Education and Experience:
  • Juris Doctor (JD) from an accredited law school; license to practice law in the U.S.
  • 10+ years of progressive legal experience, ideally with both in-house counsel and law firm exposure.
  • Proven experience in corporate law, compliance, contracts, M&A, employment law, and litigation management.

Training Requirements:
  • Willing to attend required training courses or sessions related to the job as assigned.

Physical Demands:
  • Regular sitting and repetitive office tasks are required.
  • Pass a pre-employment drug test.

Work Environment:
  • Home office: Adequate Wi-fi access required to support company provided computer and allow for seamless use of communication applications and tools for conducting daily business (ie: Video calls, chat, messaging, etc).
  • Exposure to dust, noise and/or environmental temperatures in the production environment.

Work Hours:
  • Extended work hours as needed to complete tasks.

Personal Protective Equipment:
  • Safety shoes and eye protection are highly recommended in the production area.

Travel Requirements:
  • Travel as needed in support of the above responsibilities. While last-minute travel will be avoided, when possible, it may be required at times. Initial travel time estimates are expected to be in the 10-25% range.
