As General Counsel and Corporate Secretary, you will oversee and manage all legal affairs for A Media Company, including managing corporate governance, securities and compliance matters; M&A and financing/capital markets transactions; commercial contracts and exhibitor/contractor agreements; and equity incentive plans and employment agreements.

You will report to the CFO and also work closely with the CEO and the entire executive team to help drive A Media Company's strategic growth.

Responsibilities:
  • SEC Reporting and Securities Filings: Draft and provide legal oversight for SEC periodic filings under '34 Act and securities compliance matters.
  • M&A and Financing Transactions: Serve as lead in-house counsel on mergers and acquisitions, joint venture transactions, credit agreement amendments and potential refinancings. Draft and negotiate acquisition agreements; collaborate with internal teams to ensure proper integration post-closing
  • Corporate Governance and Compliance Matters: Manage public company corporate governance matters, including meetings of the Board and its committees. Ensure compliance with applicable laws and regulations, including identification and implementation of internal controls for SOX 404(b) compliance
  • Operations Support: Provide ongoing legal support across all operating teams, including negotiation of venue, exhibitor and sponsorship agreements; SaaS license agreements for marketplace platform; and real estate leases
  • Legal Support on Employment Matters: Collaborate and provide legal support to People & Culture Dept on all employment matters, including best practices for new employment agreements, equity incentive awards, required training programs, separation and release agreements, and enforcement of restrictive covenants
  • Litigation Management: Coordinate and manage litigation with outside counsel, including efforts to maximize insurance recoveries for filed claims

Qualifications:
  • 15+ years of public company corporate law experience (combination of law firm and prior in-house experience preferred)
  • Detail-oriented with excellent legal judgment, strong organizational skills and proven ability to deliver creative, thoughtful, and business-focused solutions
  • Highly collaborative team player, capable of evaluating legal risks and business benefits
  • Comfortable navigating complicated and nuanced legal and core-business issues
  • Exceptional interpersonal and communication skills, including the ability to connect with, and gain the respect of, stakeholders at all levels, including the executive team and Board members.
  • Experience in one of the following fields is a plus: tradeshows or events, media, marketing, marketplace software platforms
  • JD, admitted to the Bar, distinctive academic record
