Job Summary:
The General Counsel serves as the chief legal advisor to the organization, providing strategic guidance, oversight, and management of all legal matters that impact the organization. This role ensures compliance with federal, state, and local regulations; manages legal risk; supports business operations; and partners with executive leadership to advance organizational goals.
This position reports directly to the Chief Operating Officer.
Supervisory Responsibilities:
This position has no direct supervisory responsibilities at this time.
Duties/Responsibilities:
Legal Strategy & Compliance
- Develop and implement the company's legal strategy to support business objectives.
- Ensure organizational compliance with applicable laws, regulations, and industry standards.
- Monitor regulatory changes and advise leadership on necessary updates to policies and practices.
Corporate Governance
- Advise executive leadership on governance matters.
- Draft, review, and maintain the organization's documents, resolutions, bylaws, and governance frameworks.
- Ensure compliance with policies and ethical standards.
Contract Management
- Draft, negotiate, and review a wide range of contracts including partner client agreements, vendor contracts, partnership agreements, NDAs, and service-level agreements.
- Develop contracting best practices and improve contract lifecycle management processes.
Risk Management
- Identify, assess, and mitigate legal risks across the organization.
- Lead internal investigations as required and develop risk mitigation strategies.
- Manage insurance policies and liaise with external insurers as needed.
Employment & Human Resources Support
- Provide legal guidance on employment matters, including hiring practices, employee relations, separations, and compliance with labor laws.
- Support HR with policy development and dispute resolution.
Litigation Oversight
- Manage any litigation or potential disputes involving the company.
- Coordinate and oversee work performed by external legal counsel.
- Evaluate cost-effective approaches to dispute resolution.
Business Operations & Advisory
- Serve as a key advisor in operational decision-making.
- Review and advise on legal aspects of business initiatives, new service offerings, and strategic partnerships.
- Support the compliance and risk components of consulting engagements when appropriate.

Education and Experience:
- Juris Doctor (JD) from an accredited law school.
- Active license to practice law in Kentucky.
- 7–10+ years of experience practicing law, preferably including corporate, employment, contract, and compliance matters.
- Experience within consulting, professional services, healthcare or a similar industry preferred.
Physical Requirements:
- Prolonged periods of sitting at a desk and working on a computer.
- Must be able to lift up to 15 pounds at times.
- Travel may be required for meetings, training, or legal proceedings.
