Description:We are searching for a General Counsel to join Meyer Najem construction. This person will serve as the primary legal advisor to senior leadership and business units—Preconstruction, Operations, Finance, HR, Business Development, Risk Management, and Project Management. You will be responsible for overseeing corporate governance, drafting and negotiating contracts, managing legal risk, handling litigation and insurance claims, and ensuring compliance across multiple jurisdictions.

Position Responsibilities:
Responsibilities include, but are not limited to the following:
- Advise executives within the company and work alongside employees in Strategic Business Units, Operations, Preconstruction, Finance, Risk Management, Human Resources, and Business Development
- Serve as Corporate Secretary at organizational and management meetings
- Ensure Corporate governance standards are being met
- Conduct pre-bid/pre-construction review of bid specs to identify project risks and other concerns and communicate to project team
- Negotiate, write, and execute agreements and contracts
- Review, edit and/or draft terms and conditions in agreements
- Provide legal advice on design and construction matters
- Interview and retain out-of-state attorneys in states that the company is doing business in or expanding to
- Research out of state laws and statutes
- Perform pre-litigation work on legal matters, including insurance claims, to minimize risks and maximize legal rights.
- Analyze, negotiate, and mediate construction claims both as plaintiff and defendant
- Handle or manage outside counsel in prosecution or defense of litigation and arbitration claims
- Review insurance policies and become familiar with exclusions and endorsements and help manage corporate risk profile, including OCIP/CCIP, Subcontractor Default Insurance, and Captive insurance strategies
- Review and advise on Employee Benefit Plans, including 401Kplan and filings and ESOP plan documents
- Ensure HR policies align with legal standards and best practices
- Advise executives on contract status, legal risks, and business terms of various deals
- Provide assistance with joint ventures, strategic partnership deals, and mergers and acquisitions
- Research unique legal issues impacting the organization by identifying applicable statues, judicial decisions, and codes
- Keep abreast of legislative changes that may affect the company
- Review advertising and marketing materials to ensure compliance with legal requirements
- Supervise the Risk Management Specialist and any additional legal staff
- Provide training to company on substantive legal topics
Minimum Qualifications:
- Bachelor's degree in Engineering, Architecture, Construction or Computer Graphics
- Juris Doctor (J.D.) from accredited law school.
- Experienced in construction law, contract drafting, negotiation, and dispute resolution.
- Licensed to practice law (active bar membership).
- Prior leadership or supervisory experience managing legal or risk teams.
- Proficiency with legal research, contract management tools, MS Office suite, and operating construction management systems.
- Exceptional written and verbal communication skills.
- Strong analytical ability and technical writing prowess.
- Well-organized, self-directed, and able to balance project deadlines.
