Overview:
You will oversee deals, intellectual property, structure, and compliance so we can move quickly and make smart decisions.

Responsibilities:
  • Negotiate contracts, deals, and financings
    • Lead negotiation and drafting of supplier, customer, partner, and other creative commercial agreements
    • Negotiate, structure, and execute M&A transactions, from LOI through close, with an emphasis on simplicity and speed
    • Support fundraising and debt processes by reviewing term sheets, coordinating with counterparties, and advising on legal and operational tradeoffs
    • Identify future deals, partnerships, and projects that advance Amca's mission
  • Set up and maintain company structure and governance
    • Maintain company charter, board approvals, and cap table accuracy
    • Structure and manage subsidiaries, joint ventures, and internal legal entities aligned with tax, regulatory, and control goals
    • Draft and update equity plans, SAFEs, and investor rights agreements
    • Advise on internal governance, board processes, and corporate record-keeping to avoid issues down the line
  • Manage and protect IP across the company
    • File and manage patents and trademarks tied to core technologies and product categories
    • Oversee intellectual property assignment, confidentiality, and licensing terms across employee, contractor, and supplier agreements
    • Respond to potential infringement or misappropriation and coordinate enforcement strategy when necessary
    • Develop and implement long-term intellectual property strategy that aligns with product roadmap, competitive positioning, and future monetization paths
  • Own miscellaneous legal ops end-to-end
    • Oversee compliance with FAA, DoD, ITAR, and other aerospace-specific regulations
    • Select and manage external counsel for specialized matters—litigation, employment, international law—only when in-house capacity is insufficient
    • Respond to subpoenas, disputes, and enforcement actions with speed and control
    • Build lightweight internal systems to track obligations, approvals, and legal deadlines without slowing execution

Qualifications:
  • JD degree from a top-tier, accredited law school
  • At least four years of experience at a top law firm, with M&A transaction experience
  • Exceptional commercial judgment; must have an intuitive grasp of economics and finance
  • Clear, concise communicator and fast thinker
  • Independent, creative, contrarian, and unconcerned with conventional paths
  • High energy, strong work ethic, and sharp problem-solving ability
  • Analytical and data-driven; can quantify tradeoffs and make decisions with little noise
  • Highly organized and able to manage complex workflows with minimal oversight
  • Comfortable working in fast-paced, messy, and resource-constrained environments
  • Willing to do unglamorous work and move quickly
  • Plus: engineering, math, physics, or manufacturing background
  • Plus: experience in aerospace or defense
