The General Counsel will be responsible for overseeing all legal matters across the organization. This role is a key member of the senior leadership team and will also serve as Corporate Secretary, participating in board meetings and providing strategic legal counsel on contract management, securities and governance, M&A, compliance, and corporate governance. The General Counsel will be instrumental in supporting the company's growth and operations, including internationally, and will act as a trusted partner to the executive committee and broader business functions. Success in the role will be measured by the General Counsel's ability to take full ownership of legal matters, proactively support the executive committee, and build strong relationships across the business.

The Day to Day:
  • Serve as Corporate Secretary, attending all board meetings and ensuring effective governance.
  • Lead and manage the legal function, including a core team of legal professionals and dottedĀ­ line oversight of legal staff at international sites (notably in Argentina and Turkiye).
  • Oversee and provide strategic direction on contract management, securities law, governance, M&A activity, and compliance, including donations and regulatory matters.
  • Lead and advise on complex corporate matters, including structuring, drafting, negotiating, and administering a full range of business transactions such as exploration agreements, mining leases, land and water purchase agreements, metals and concentrate sales, and M&A agreements.
  • Provide oversight and guidance on supply chain/procurement legal matters, project development, and operational activities.
  • Advise on and ensure compliance with international and domestic laws and regulations, including SEC disclosure issues, subsidiary governance, and corporate compliance.
  • Provide legal advice and leadership on legislative and regulatory matters at local, state, federal, and international levels, including exploration rights, concession contracts, governmental approvals, and foreign investment authorizations.
  • Oversee legal aspects of public land and mining law, environmental permitting, and land acquisition.
  • Manage, negotiate, and resolve transaction-related disputes and direct any resulting litigation, working with outside counsel as required.
  • Act as a business partner to the executive team, formulating and implementing strategies that minimize legal risk and support corporate objectives.
  • Work closely with government affairs and other business functions such as finance, accounting, investor relations, and operations.
  • Provide proactive legal updates to the executive committee and ensure legal risks are identified and managed.
  • Foster a pragmatic, entrepreneurial, and collegial leadership culture, mentoring and developing the legal team.
  • Support business operations in diverse, relationship-driven environments, adapting to local contexts and challenges.

Is This You?
  • Juris Doctor (JD) or equivalent US Law Degree from a recognized institution.
  • 18+ years' legal experience.
  • Demonstrated track record in senior legal leadership roles; prior General Counsel experience strongly preferred.
  • Experience working in US-based roles and eligible to work in the US.
  • Background in large established law firms strongly preferred.
  • Experience in structuring, drafting, and negotiating complex business agreements, including M&A, mining, land, water, and supply chain contracts.
  • Knowledge of SEC disclosure, subsidiary governance, and corporate compliance.
  • Experience with royalties, construction finance, and environmental permitting is an asset.
  • Spanish language skills would bring additional benefit.
  • Entrepreneurial, pragmatic, and self-driven leadership style; able to mentor and develop teams and work autonomously.
  • Able to operate effectively in diverse, international, and relationship-based environments (e.g., Turkiye, Argentina).
  • Excellent verbal and written communication skills, able to communicate complex legal matters in clear business terms.
  • Mature, professional, and collaborative; strong business ethics and integrity.
