Position Summary:
The General Counsel manages the organization's legal and corporate governance department. The General Counsel must ensure high quality legal production supporting corporate compliance and services at Equitas Health. The General Counsel oversees compliance with laws and regulations related to employment and labor, licensure and healthcare operations, contracts, real estate, insurance and claims management, and any other local, state, and/or federal statuary and regulatory requirements. The executive manages the limited use of outside counsel, risk management, and strategy related to property and casualty insurance and other needed protections. The General Counsel will partner with Executive Leaders, Senior Leaders and Directors in developing, implementing, and managing the legal aspects of the organization. This position is required to use independent discretion and professional legal judgment with respect to supervisory and management decisions and recommendations. This position requires departmental leadership skills to assist in creating an environment/culture to enable Equitas Health to fulfill its mission and meet or exceed its goals in a legally and compliant manner. This position reports to the President and Chief Executive Officer (CEO).

Major Areas of Responsibilities:
General Counsel:Provide Legal Advice to Officers and Management, Including Assessing Compliance/legal Risks and Identifying and Interpreting Applicable Laws and Regulations, Including Those Related to Privacy, Medicare, Medicaid, Ryan White and Other Government Programs, Federally Qualified Health Center Compliance, Fraud and Abuse, Physician Self-Referral and Anti-Kickback Laws. the General Counsel Will Escalate High-Level or High-Priority Legal Advice to The Ceo for Review.
Department Leadership & Supervision
Directly Supervises and Manages the Legal Department Staff, Specifically the Associate General Counsel, Associate Director of Corporate Governance, and Legal Operations Specialist. Responsible for Assigning Workflows, Overseeing Professional Development, and Conducting Performance Evaluations to Ensure the Department Meets the Organization's Strategic Goals.

Ensure Finance Approves Each Contract (when Necessary) and Signatories Review, Approve, and Sign Contracts. Communicate Contract Monitoring Plan with Employee Responsible for Contract. Appropriately Store Contracts in A Way that Makes Them Easily Accessible to Employees Searching for Them.

Responsible for Managing Outside Counsel Activities and Spending. General Counsel Must Escalate to The Chief Executive Officer Any Work Product Deficiencies or Billing Discrepancies with Outside Counsel and Work Collaboratively to Resolve the Issue.
Financial & Revenue Accountability
The General Counsel Must Be Financially Literate on General Issues of Accounting, Finance, and Revenue at Equitas Health in Order to Provide Appropriate Oversight/compliance Functions. the General Counsel Must Escalate to The Chief Executive Officer and Chief Financial Officer Significant Issues Regarding Finance, Revenue, and Financial Issues that May Affect Equitas Health's Short- and Long-Term Goals. Additionally, the General Counsel Must Provide to The Revenue and Compliance Teams Practical Guidance on Billing, Coding, and Other Reimbursement Matters for Compliance with Government and Commercial Health Plan Requirements.

Anticipating Issues and Estimating and Navigating Risks Strategically.
- Advise the Chief Pharmacy Officer and Pharmacy Directors on Legal Matters Pertaining to The 340 B Drug Pricing Program
- Seek Appropriate Outside Legal Counsel when Necessary to Interpret 340 B Statute as It Relates to Equitas Health
- Advise the Chief Pharmacy Officer in Regards to Pharmacy Benefits Manager Contract Relationships and Risk Mitigation
