An Award-Winning Personalized Learning Platform, a leading EdTech company with products used by 15 million students worldwide, is seeking a General Counsel to support the executive team and to optimize our organizational efficiency regarding legal matters, ensure legal compliance and limit risk exposure to the business by supporting a broad spectrum of legal issues. The ideal candidate will have sound knowledge and understanding of applicable laws and regulations, and the ability to make prudent legal decisions. The General Counsel will be a member of the IXL Leadership team, providing counsel and guidance to support the strategic growth and direction of the company. #LI-HYBRID

What You'll Be Doing:
  • Directing all aspects of legal affairs at IXL and ensuring business policies and activities, including general corporate, data privacy and security, contracts, mergers and acquisitions, intellectual property, employment, litigation and risk management
  • Staying abreast of changes to law and regulations and advising management about impact and opportunity to the business
  • Leading the defense of the organization in lawsuits and the prosecution of lawsuits on behalf of the organization against others
  • Ensuring that all company communications, contracts, documents, filings and press releases undergo a legal review
  • Providing guidance and counsel to management on business transactions and initiatives
  • Conduct due diligence processes for potential mergers, acquisitions or strategic partnerships. Draft and review legal documents related to transactions, ensuring compliance and mitigating legal risks

What We're Looking For:
  • J.D. degree from an accredited law school
  • Admittance to the California State Bar Association highly preferred
  • Must have a minimum of 10 years of legal experience gained in mid to large law firms and/or as in-house General Counsel or Associate General Counsel preferably in the education or technology industry
  • Overall broad legal knowledge (corporate law, litigations, labor law, data privacy and security, compliance, M&A, etc.), with expertise in California law a plus
  • In-depth understanding of how legal issues affect organizations
  • Ability to develop legal strategy and objectives
  • High degree of professional ethics and integrity
  • Excellent judgment and analytical skills
  • Excellent interpersonal and communication skills
  • Ability to anticipate legal issues or risks and to advise accordingly
