Summary:
A Firearms Academy in San Diego, California Compliance Officer (CO) also serves as the company's In-house General Counsel (GC) and is a lawyer with a Juris Doctor (JD) degree, state license and extensive corporate experience. He/she is the head advisor on all of 6M's corporate legal matters and is responsible for overseeing the company's legal and regulatory affairs. He/she has extensive legal background with previous positions as general counsel for a civilian company, preferably with employment law experience in the state of California.

The CO/GC reports directly to the CEO and works with the Board of Directors and senior management to ensure they are properly protecting their employees, assets and stakeholders in accordance with the law.

Responsibilities;
  • Consulting the company's Board on legal advice and regulations
  • Overseeing the selection and management of outside counsel, where needed
  • Educating management on legal issues
  • Keeping leadership informed of new or changing laws
  • Setting up training materials regarding legal matters for employees
  • Preparing legal forms such as nondisclosure agreements or proprietary information agreements, employee agreements, contracts, waivers, title documents, etc.
  • Developing and implementing policies and legal strategies in the best interest of the company
  • Leading internal audits and corporate compliance initiatives for legal matters
  • Litigating on behalf of a company, as appropriate
  • Understanding and consulting on contracts presented to the company for signature
  • Along with managing legal teams, may also oversee technology and operations teams involved in heavily regulated areas.
  • Help create a balance of achieving the company's financial goals while also acting in accordance with the law.

Other Specific Duties Include:
  • Maintain company's registrations for security licensing in CA and FL
  • Ensure company is compliant with all contractual requirements from each client
  • Ensure operations are compliant with federal, state and local laws
  • Assist Billing Specialist with collection of past due invoices from clients
  • Ensure all vendors and contractors are in compliance with their contractual obligations to the company
  • Ensure all insurance claims are properly filed and tracked
  • Ensure company is properly insured to conduct all operations
  • Manage outside counsel and their requirements
  • Manage insurance agents and their requirements
  • Ensure appropriate Sales and Use taxes are filed in FL
  • Ensure Accountant and Tax team are compliant with filing deadlines
  • Ensure local business tax is filed with San Diego

Requirements:
  • Juris Doctorate and state license in CA
  • 5-10 years' experience in corporate and employment law
  • Understanding of International Law, US export regulations and foreign transactions

Necessary Qualifications:
  • Leadership and independence: the CO is a leader in the company, you guide other members of the organization. You need the natural ability to work independently with minimal supervision.
  • Excellent communication skills: Good verbal communication is essential to succeed, even if you don't argue cases. Excellent written communication is also crucial to draft legal documents and write emails or instructions to co-workers. Grammar, spelling and a concise writing style will help deliver clear and quality messages.
  • Broad legal knowledge: Corporate counsels need to stay current with regulatory compliance, ethical issues and court decisions. Up to date completing continuing education, member of professional organizations and subscribed to industry newsletters. Most important areas of law: employment, contracts, insurance.
  • Analysis and judgment: Can read, analyze and process large quantities of information. Must be able to detect patterns and trends in past legal issues or cases, assess options and make sound judgments. You should think intuitively and use learned experience to make new decisions.
  • Interpersonal and negotiation skills: Should be able to establish and maintain strong relationships within the organization's Board, senior management and across the company. As such, you need strong negotiation skills for legal and financial issues.
