The Contribution You'll bring to this Role:The General Counsel at the A Safety Cans - Safety Cabinets - Spill Containment Company Safety Group will provide legal advice to management of JSG with respect to all aspects of business law covering the full range of the company's global business, including drafting, review, and negotiation of commercial contracts, advise on labor matters, manage third party legal vendors, manage global legal entities, manage leases, oversee intellectual property, participate, and advise in mergers and acquisitions, manage litigation, and related activities.

What You'll Do at A Safety Cans - Safety Cabinets - Spill Containment Company:
The key responsibilities are for the legal concerns of the global company, including management of outside counsel, advising senior management regarding how the law may affect current and proposed business decisions, and handling, or supervising the handling of, all litigation, with the aim of minimizing the expense of outside counsel.
- With the appropriate input from the company's CEO and CFO, determining when outside counsel is needed to represent the company, select that counsel, negotiate the terms of the engagement, and supervise their representation.
- Review contracts and advise the company regarding the obligations, rights and risks of such.
- Provide risk mitigation and improve terms and conditions for purchase orders (sales and sourcing), e-commerce sales and a wide range of contracts.
- Evaluate the company's position in contract disputes and assist in developing approach to resolving these disputes; occasionally assist in negotiating resolution and/or settlement.
- Oversee the review and management of real estate holdings, ensuring optimal property utilization and compliance with regulatory requirements.
- Manage an in-house compliance program emphasizing trade compliance, import/export regulations, and FCPA adherence.
- Supervise and mentor paralegal, improving team efficiency and the delivery of legal support.
- Manage corporate entity governance, including registrations, renewals, resolutions, and director/officer appointments, to ensure full compliance with corporate obligations.
- Oversee the renewal and management of the company's third-party insurance service providers and policies.
- Manage the company's intellectual property consisting of U.S. and foreign trademarks and patents and manage the process for application reviews and renewals with various commercial and operational teams.
- Advise and support management team on all Mergers and Acquisitions, Joint Ventures, and other partnership agreements with the business.
Other Responsibilities:
- Provide training to employees in contract law and use of the contract review process.
- Advise HR on a variety of legal issues, including review of employment forms; review of employee group handbooks; drafting and review of personnel policies; and interpretations of personnel policies, state and federal laws and regulations.
- Advise HR and Senior Management regarding conflict with and among employees, handling of employee discipline, application of employee handbook, state and federal laws and regulations, handling of complaints by current or former employees.
- Draft, or review, company policies and rules.
Your Skills and Expertise:
To ensure your success from day one in this role, A Safety Cans - Safety Cabinets - Spill Containment Company requires the following qualifications at a minimum:
- An undergraduate degree and JD are required.
- Minimum of 10 years' experience in related legal experience with broad knowledge of commercial law, legal entities, intellectual property, and general corporate law.
- Member in good standing of a state bar association
- Seasoned lawyer with strong legal analytical skills and practical business orientation.
- Capable of working effectively across global organizational and geographic boundaries.
- Mergers and acquisition experience.
- Initiative and ability to identify risks and manage them effectively.
