Job Description:
General Counsel at An ESG Public Benefit Company will provide sound legal advice and guidance to help An ESG Public Benefit Company avoid legal risks and regulatory violations in all business transactions, perform legal research and due diligence, evaluate all projects and partnerships for potential legal issues, draft, modify, and review legal documents. An ESG Public Benefit Company engages with jurisdictions across the country dealing with inside/outside counsel at city, county, state, federal, school, port, and hospital entities. Experience in drafting and negotiating contracts is important. Litigation experience is a definite plus in knowing what is of practical importance verses technical. One must be able to gain trust quickly , speak plainly, be transparent, and able to create long-term relationships with customers, vendors, and investors.

Responsibilities include:
  • Customer Agreements
  • Employment Agreements
  • Corporate Governances
  • Provide decisive legal guidance on project development, capital, corporate, commercial, and compliance matters to facilitate project approvals and process optimization
  • HR issues
  • Equity grants and stock option agreements
  • NDAs
  • Regulatory requirements for procurement per state as needed
  • Read through bond documents for subsequent funding restrictions
  • Ensure An ESG Public Benefit Company is compliant with institutional project underwriting approval and funding
  • All An ESG Public Benefit Company compliance issues
  • Oversee all other legal matters

Qualifications:
  • 6-7 Years Corporate Law experience with a focus on corporate and customer contracts, governance, and compliance
  • Excellent analytical and negotiation skills
  • Demonstrated efficiency in handling complex legal documents and ensuring quick turnaround in high-stakes environments
  • Proactive and able to identify issues, legal risks, and potential liabilities
  • Self-starter and self-motivated with a passion to learn and grow
  • Computer proficiency and experience with all manner of corporate documents
  • Strong interpersonal, verbal, and written communications skills
  • Must be licensed to practice law
  • Arizona resident preferred
