Job Summary:The General Counsel and Corporate Secretary will serve as the chief legal officer of both An Independent, Employee-Owned Firm and its parent holding company. This executive-level role provides strategic leadership and enterprise oversight of the legal, compliance, and risk management functions.
The General Counsel will ensure that the organization's legal affairs are managed effectively, risks are identified and mitigated, and internal teams are well supported in their compliance and fiduciary responsibilities.
This position is critical to ensuring that An Independent, Employee-Owned Firm operates in accordance with applicable laws, maintains its fiduciary and regulatory obligations, and sustains strong corporate governance.
The position also supports the governance of both entities by serving as Secretary to the Boards of Directors, responsible for maintaining corporate records, ensuring regulatory compliance, and advising on fiduciary obligations and board processes.
The role sits on the Senior Management Committee and contributes directly to the firm's strategic direction, enterprise risk posture, and operational decision-making. The General Counsel plays a key role in leadership decisions, safeguarding the firm's reputation, and supporting enterprise-wide risk management.
Key Responsibilities:
- Serve as senior legal advisor to executive leadership and the Boards of Directors
- Oversee the Legal, Risk Management, and Compliance departments
- Provide legal and strategic input on enterprise risk and regulatory issues
- Manage outside counsel, complex legal matters, including contracts, fiduciary documents, and regulatory interpretation and implementation
- Act as Secretary to the Boards, maintaining corporate records and governance processes
- Promote a culture of integrity, accountability, and proactive compliance
Qualifications:
- JD from an accredited law school; and a member in good standing of the Massachusetts bar
- 10+ years of relevant experience in financial services, preferably with trust, banking, or investment advisory expertise
- Deep knowledge of legal, fiduciary, and regulatory frameworks governing financial institutions
- Experience managing legal and compliance professionals
- Skilled communicator and advisor to senior leadership and Boards
- Strong judgment, high integrity, and a collaborative leadership style
